Job Brief

Are you a legal professional who enjoys solving business challenges and working independently We are looking for a Legal Counsel – Corporate to support our client's India and Singapore entities. In this remote contractual role, you will manage corporate legal matters, investor documentation, governance, contracts, and ESOP-related work.

This is a great opportunity to work closely with senior leadership, handle cross-border legal matters, and play an important role in the company's growth.

Responsibilities

- Draft, review, and negotiate Key Managerial Personnel (KMP) appointment agreements and related legal documents for the India entity.
- Prepare and manage Independent Contractor (IC) agreements and Intellectual Property (IP) assignment agreements for both India and Singapore entities.
- Support legal documentation related to the Singapore holding company and work with corporate secretarial partners.
- Draft, review, and negotiate Shareholders Agreements (SHA), Investor Agreements, Term Sheets, Share Subscription Agreements (SSA), and Share Purchase Agreements (SPA).
- Assist with Employee Stock Ownership Plan (ESOP) documentation and coordinate with external vendors.
- Work closely with external legal advisors, auditors, and company secretaries in India and Singapore.
- Prepare board resolutions and support statutory filings and corporate governance activities.




- Maintain legal records, monitor agreement renewals, and ensure compliance with important deadlines.
- Provide practical legal advice to support business operations and strategic decisions.

Qualifications

- LLB or LLM degree.
- 4–8 years of experience in corporate or commercial law.
- Experience in startups, venture-backed companies, or in-house legal teams is preferred.
- Good understanding of corporate legal documentation and governance.
- Experience with venture funding transactions and ESOP structuring.
- Knowledge of Singapore corporate law or holding structures is an advantage.
- Ability to work independently in a fast-moving, founder-led workplace.
- Strong drafting, negotiation, communication, and organizational skills.
