Role & responsibilities
- Handle end-to-end incorporation and post-incorporation compliance for private limited companies, LLPs, and Section 8 companies (SPICe+, AGILE-PRO, INC-20A, etc.)
- Prepare and file annual returns (MGT-7/7A), AOC-4, DIR-3 KYC, and other ROC forms within statutory timelines
- Draft notices, agendas, and minutes for Board Meetings, Committee Meetings, and General Meetings (AGM/EGM)
- Manage statutory registers, minutes books, and other records under the Companies Act, 2013
- Advise on and implement corporate actions share allotments, transfers, buybacks, rights issues, bonus issues, and changes in share capital
- Handle SBO/BEN filings, related party transaction compliance, and director appointments/resignations/disqualifications
- Support cap table management and documentation for startup clients CCPS/CCD/OCD instruments, ESOP schemes, SHA/SSA vetting
- Coordinate FEMA/RBI compliance including FC-GPR, FC-TRS, ODI filings for clients with foreign investment or overseas structures
- Liaise with ROC, RD, MCA, and other regulatory authorities on client matters, including responding to notices and scrutiny
- Assist in due diligence, secretarial audits, and compliance certifications (MGT-8,
annual secretarial compliance report)
- Coordinate with the CA/CMA teams internally for integrated compliance delivery across clients
- Stay current with amendments to the Companies Act, SEBI regulations (where applicable), and FEMA rules, and flag impact on client portfolios
Preferred candidate profile
Qualified Company Secretary (ACS/FCS), member of ICSI
- 2–5 years of post-qualification experience, preferably in a CA/CS firm or corporate secretarial practice handling multiple clients
- Strong working knowledge of the Companies Act, 2013, FEMA, and SEBI regulations (LODR/ICDR exposure a plus)
- Hands-on experience with MCA V3 portal, XBRL filings, and ROC compliance tools
- Exposure to startup ecosystem work (cap tables, ESOPs, investor documentation) is a solid plus
- Good drafting skills for board resolutions, agreements, and compliance certificates
- Ability to independently manage a portfolio of clients and meet statutory deadlines
- Strong communication skills for direct client interaction and coordination with regulators
- Proficiency in MS Office/Word; comfort with digital signature and e-filing workflows
