About the Opportunity
A fast-scaling fintech and advisory firm operating at the intersection of investment banking and legal structuring, we enable high-growth startups and mid-market corporates across India to execute complex capital raises, M&A;, and regulatory compliance initiatives with precision. Our legal advisory team works hand-in-hand with investment bankers to de-risk transactions, draft term sheets, and navigate SEBI, RBI, and corporate law frameworks—turning legal complexity into deal velocity.
Role & Responsibilities
- Lead legal due diligence for equity/debt fundraising, mergers, acquisitions, and joint ventures—identifying red flags and drafting risk-mitigation strategies.
- Co-draft investment agreements, share purchase agreements, term sheets, and shareholder arrangements in alignment with transaction economics and investor expectations.
- Advise on SEBI regulations (including ICDR, LODR), FEMA compliance, and RBI guidelines governing foreign investment and cross-border transactions.
- Coordinate with external counsel and internal IB teams to close deals within aggressive timelines—ensuring legal documentation stays synchronized with financial models and term negotiations.
- Prepare and review board minutes, ESOP structures, and corporate governance documentation to ensure statutory and investor compliance.
- Conduct training sessions for banking teams on legal implications of deal structures and emerging regulatory changes impacting private capital markets.
