Key ResponsibilitiesCorporate Secretarial Functions

- Ensure compliance with the Companies Act, 2013, LLP Act (if applicable), and Secretarial Standards.
- Prepare and maintain statutory registers, records, and minute books.
- Draft notices, agendas, resolutions, and minutes of Board and General Meetings.
- File statutory returns and forms with the Registrar of Companies (ROC).
- Maintain corporate records and legal documentation.
- Assist in incorporation, alteration, and closure-related compliances.
- Coordinate with directors, auditors, bankers, and legal consultants.

Compliance Management
- Develop and implement an effective compliance management system.
- Monitor compliance with:
- Companies Act
- Labour Laws
- GST
- Income Tax
- Professional Tax (where applicable)
- Shops & Establishments Act
- Clinical Establishments Act (where applicable)
- Biomedical Waste Management Rules
- Fire & Safety Regulations
- Local Municipal Regulations
- NABH Standards
- Data Privacy and Confidentiality requirements
- Maintain statutory compliance calendars.
- Ensure timely renewals of licenses and registrations.
- Conduct periodic compliance audits.

Legal & Regulatory Affairs
- Draft, review, and vet:
- Contracts
- Vendor Agreements
- Service Agreements
- Employment Contracts
- Non-Disclosure Agreements (NDAs)
- Memoranda of Understanding (MOUs)
- Lease Agreements
- Legal Notices
- Coordinate with external legal counsel.
- Handle litigation documentation and legal correspondence.
- Maintain legal records and documentation.

Healthcare Compliance
- Ensure compliance with NABH standards and quality documentation.
- Coordinate inspections by regulatory authorities.
- Monitor statutory licenses such as:
- Trade License
- Pollution Control (if applicable)
- Biomedical Waste Authorization
- Clinical Establishment Registration
- Pharmacy Licence (if applicable)
- PNDT compliance (if ultrasound services are provided)
- Maintain all healthcare regulatory records.

Risk Management
- Identify legal and regulatory risks.




- Recommend corrective and preventive actions.
- Develop internal compliance policies and SOPs.
- Conduct internal compliance reviews and audits.

Governance & Ethics
- Advise management on corporate governance practices.
- Ensure implementation of ethical business practices.
- Maintain conflict-of-interest declarations.
- Monitor compliance with organizational policies.
- Promote a culture of regulatory compliance.

Documentation & Reporting
- Prepare:
- Compliance reports
- Board reports
- Secretarial reports
- Legal status reports
- Compliance dashboards
- Risk assessment reports
- Regulatory update reports
- Present compliance updates to senior management.

Required Qualifications
- Company Secretary (CS) – Qualified and a Member of the Institute of Company Secretaries of India (ICSI).
- Bachelor's degree in Commerce, Law, Business Administration, or related field.
- LLB or LLM will be an added advantage.
- Certification in Compliance, Corporate Governance, or Risk Management is desirable.

Experience
- 3–7 years of experience in corporate secretarial and compliance functions.
- Experience in the healthcare, hospital, pharmaceutical, or service sector will be preferred.

Required Skills
- Strong knowledge of the Companies Act, 2013 and Secretarial Standards.
- Familiarity with labour laws, GST, income tax, and healthcare regulations.
- Excellent drafting and legal documentation skills.
- Strong understanding of corporate governance principles.
- Excellent communication and presentation skills.
- High attention to detail and confidentiality.
- Proficiency in MS Office and MCA filing systems.

Preferred Skills
- Experience with NABH accreditation and healthcare regulatory compliance.
- Knowledge of Clinical Establishments Act and Biomedical Waste Rules.
- Experience handling government inspections and regulatory authorities.
- Contract negotiation and legal risk management.
- Ability to manage multiple compliance deadlines effectively.

Pay: ₹289,906.61 - ₹1,008,727.88 per year
