We are seeking a highly motivated and detail-oriented
M&A; Tax Consultant
to join our growing tax advisory team. This position focuses on delivering high-impact tax consulting services related to
Mergers & Acquisitions (M&A;)
, including due diligence, transaction structuring, and post-deal integration support. The ideal candidate will have a deep understanding of tax implications in M&A; transactions and a strong foundation in corporate tax regulations.
You will be working closely with senior consultants, legal teams, and corporate clients to assess tax risks, evaluate tax-efficient structures, and ensure compliance with regulatory frameworks. This role requires both technical expertise and strategic thinking, with an opportunity to gain hands-on experience in complex and high-value deals across sectors.
Key Responsibilities:
Tax Due Diligence:
Conduct and review comprehensive tax due diligence for both buy-side and sell-side transactions to identify potential tax risks and exposures.
Transaction Structuring:
Develop and recommend tax-efficient structures for mergers, acquisitions, demergers, joint ventures, and other corporate transactions. Ensure alignment with commercial objectives and legal constraints.
Tax Advisory & Planning:
Provide expert guidance on direct and indirect tax implications of deal structures, including capital gains, MAT/AMT implications, transfer pricing, and withholding taxes.
Cross-Border Transactions:
Advise on international tax aspects of cross-border M&A;, including treaty benefits,
permanent establishment risk, and repatriation strategies.
Post-Deal Integration:
Assist clients with integration of tax structures post-transaction and support them in implementation, compliance, and reporting activities.
Collaboration & Client Engagement:
Collaborate with cross-functional teams including legal, finance, and external advisors. Build trusted relationships with clients by delivering clear, actionable tax insights.
Documentation & Compliance:
Prepare and review transaction documents, tax opinions, and regulatory submissions. Stay updated with amendments in tax laws, rulings, and notifications affecting M&A; activity.
Key Skills & Qualifications:
Education:
Chartered Accountant (CA), LLB, or MBA (Finance/Taxation). Additional certifications in International Tax or Corporate Law will be an advantage.
Experience:
2+ years of experience in M&A; tax advisory, corporate tax, or transaction services, preferably in a Big 4, law firm, or boutique advisory firm.
Technical Knowledge:
Solid understanding of the Income Tax Act, Company Law, SEBI regulations, FEMA, and other regulatory aspects impacting M&A.; Familiarity with international tax concepts like BEPS, GAAR, and DTAAs is preferred.
Analytical & Problem-Solving Skills:
Ability to analyze financial statements and legal documents to identify tax implications and create optimal structures.
Communication:
Excellent verbal and written communication skills. Should be able to present complex tax matters in a simplified and client-friendly manner.
Teamwork & Time Management:
Capable of working collaboratively in fast-paced environments and managing multiple priorities with tight deadlines.
