Role Description We are looking for a qualified and detail-oriented Company Secretary to join our organization. This is an excellent opportunity for a CS professional to work closely with senior management and play a key role in the company's legal, secretarial, and governance framework. The role involves end-to-end handling of corporate compliance, from managing board and shareholder processes to ensuring the organization stays aligned with evolving regulatory requirements.
You will act as a vital link between the Board, management, regulators, and other stakeholders, while also contributing to strategic decisions around governance, risk, and compliance. Key Responsibilities Ensure compliance with the Companies Act, 2013, SEBI regulations, FEMA, and other applicable corporate laws
Organize and manage Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs), including preparation of agendas and notices
Prepare and maintain statutory registers, minutes, and records
File necessary forms and returns with the Registrar of Companies (ROC), MCA, and other regulatory authorities
Advise the Board and senior management on corporate governance matters, legal risks, and best practices
Liaise with auditors, legal advisors, regulators, bankers, and other external stakeholders
Conduct secretarial audits and ensure timely compliance reporting across group entities
Support due diligence for mergers, acquisitions, and other corporate actions
Draft, vet, and manage agreements, contracts, and other legal documentation
Handle correspondence with shareholders, directors, and regulatory bodies
Monitor changes in corporate law and ensure timely implementation of new compliance requirements
Maintain and update the company's compliance calendar and ensure adherence to filing deadlines
Assist in drafting the Directors' Report, Annual Report, and other statutory disclosures
Coordinate with internal departments (finance, HR, legal) to ensure smooth corporate operations
Requirements Qualified Company Secretary (ACS/FCS), member of ICSI
Both freshers and experienced professionals are welcome to apply
Strong knowledge of the Companies Act, SEBI Listing Regulations, and related corporate laws
Excellent communication, organizational, and interpersonal skills
Proficiency in MS Office and compliance management tools
