We are seeking a qualified Company Secretary (ICSI) with 2 to 3 years of post-qualification experience of working in a listed company. The ideal candidate will possess a strong understanding of the Companies Act 2013 and SEBI Regulations along with sound knowledge of secretarial practices and regulatory compliance. This role offers the opportunity to work closely with senior management and the Board on corporate governance.
Key Responsibilities:
- Ensure compliance with the provisions of the Companies Act, 2013, SEBI Regulations and other applicable corporate laws and regulations.
- Handle end-to-end Board and Committee processes, including convening, scheduling and coordinating for Board Meetings, Committee Meetings and the Annual General Meeting (AGM).
- Prepare notices, agendas, minutes, and resolutions for Board and Shareholder meetings.
- Ensure timely filing of statutory returns, forms, and disclosures with the Registrar of Companies (RoC) and other regulatory authorities.
- Maintain statutory registers, records, and documents as required under applicable laws.
- Support the Company Secretary in matters of corporate governance, ensuring adherence to best practices and regulatory requirements.
- Coordinate with various departments to ensure compliance with applicable labor,environmental, and industry-specific regulations relevant to a manufacturing setup.
- Assist in drafting the Annual Report, Corporate Governance Report, and other statutory disclosures.
- Handle correspondence and filings related to regulatory bodies.
- Support due diligence processes for any corporate restructuring, mergers, acquisitions, or joint ventures, as applicable.
Education and Relevant Experience
- Company Secretary (CS) Qualified member of the Institute of Company Secretaries of India (ICSI).
- 2 to 3 years of post-qualification experience with exposure to listed company compliances.
- Prior experience in a manufacturing or industrial setup will be an added advantage.
- A background in the power, engineering, or capital goods sector is desirable but not mandatory.
Desired Skills & Competencies:
- Strong working knowledge of the Companies Act, 2013, and rules made thereunder.
- Sound understanding of SEBI (LODR) Regulations, SEBI (PIT) Regulations, and SEBI (ICDR) Regulations.
- Good knowledge of secretarial standards (SS-1 and SS-2) issued by ICSI.
- Strong drafting, documentation, and communication skills.
- Ability to manage multiple compliance timelines with accuracy and attention to detail.
- High degree of integrity, confidentiality, and professionalism.
- Robust interpersonal skills to liaise effectively with the Board, senior management, regulators, and external stakeholders.
- Proficiency in MS Office and familiarity with compliance management/ROC filing tools/XBRL filings.
- Ability to work independently as well as collaboratively in a fast-paced environment.
