Location: Navi Mumbai, India

Reports To: CEO

Salary: Base + Performance bonus + Options

Role Overview and Description

A hands on proactive role in a fast paced environment.

The COO/CFO will be responsible for managing all hands-on operational and financial aspects of the company. This role will collaborate with the CEO and wider executive management team to develop corporate, financial and operational strategies, and is charged with facilitating these efforts across Finance & Operations. Through a respectful, constructive and energetic style, guided by the objectives of ZERO13, the COO/CFO will provide the leadership, management and vision necessary to ensure that the company has the proper financial controls, operational controls, administrative and reporting procedures, and people systems in place to effectively grow the organisation and to ensure financial strength and operating efficiency. The COO/CFO will also oversee all service orientated customer facing positions (customer care, and professional services) as well as the legal, compliance, payroll and audit functions.

Key Duties:

COO

- Collaborate with the management team to develop and implement plans for the operational infrastructure of systems, processes, and personnel designed to accommodate the rapid growth objectives of our organisation.
- Shape, manage and enhance operational processes and procedures.
- Lead the setup of operations in other jurisdictions to allow the group to scale to facilitate growth in an aggregated fashion and link effectively into each in country workplace we operate in.
- Work closely with the legal and compliance team from a commercial and risk perspective on contract negotiation, review and regulations.
- Be strategically involved front to back to incubate and launch new businesses.
- Work with other members of the management team (for example Chairman & CEO and CTO) on projects including oversight where appropriate.
- Take the lead of the Risk Management team for all aspects of financial risks across the Group including Market Risk (including but not limit to foreign exchange risk and interest rate risk), Credit Risk, Liquidity Risk and Operational Risk etc..
- Overall responsibility for building and maintaining senior relationships with regulators, trade bodies, political organizations and lobby groups as appropriate given the business is currently unregulated.
- Maintain the risk register and have overall oversight for risk assessment and control.
- Undertake appropriate people management, recruitment and implement training measures working with the CEO.
- Oversee company secretarial activities and HR.
- Undertake appropriate people management, recruitment and implement training measures. This includes overseeing the HR function both day to day in terms of payroll and recruitment working with the HR Manager.

CFO

- Investor relations, investor conditions management (as per agreed terms in the Shareholder Agreement and board pack)
- Working with the Chairman & CEO, to develop, implement and review the business strategy ensuring financial viability and optimum return on investment




- Work with senior management team to grow the businesses formulating strategies and plans with complete financial appraisals where appropriate including analysis and recommendations
- Lead and develop finance teams
- Lead and manage the budgeting process
- Overall cash management on an ongoing basis - closely and accurately monitor cash, working capital and capital spend to ensure that the business has sufficient funds to profitably operate, invest and grow
- Formulation of annual budgets and targets including development and implementation of an agreed financial plan (short and long term) for the business. Continually monitor, review, re-forecast and take action to ensure the business delivers its objectives
- Overall control of all financial transactions and accountancy matters, including that efficient and effective accounting and administration systems are in place
- Responsibility for ensuring that the business is compliant with all internal and external accounting, financial and legal requirements. Oversee and enhance the audit and review programme. Take action to rectify as required.
- Company Secretarial activity and corporate reporting
- Preparation and submission of monthly updates to the Board
- Presentation of annual accounts with recommendations
- Review of accounts and investigation of variances then setting recovery plans
- Treasury matters
- Capital expenditure and R&D; evaluation and preparation of submissions
- Insurance/ risk management
- Input in the setting of annual cost rates and prices for customers
- Close involvement in commercial negotiations with customers where applicable and required
- Ensuring that the regulatory requirements of all statutory bodies are met
- Ensure that all company, legal and financial reporting is accurately completed and submitted to deadlines
- Manage all commercial contractual affairs such as purchasing agreements, confidentiality agreements, supplier contracts etc
- Develop and report on relevant KPI’s to monitor, measure and drive performance, proposing and implementing actions to ensure the efficient and effective running of the business
- Provide management information, which is accurate, timely, and informative

- Effectively manage key relationships with Chairman/other investors, banks, HMRC, auditors etc
- Prepare presentation material if any Subsidiary company is syndicated
- Actively work with the Chairman & CEO to increase the enterprise valuation and bringing external investors when appropriate

Objectives:

- Successful delivery oversight and operational enhancement of ZERO13 systems and operations as a fintech platform-as-service
- Lead the Legal and compliance functions for successful outcomes be it in contractual negotiations or regulatory approvals




- Assist in building ZERO13 business pipeline support
- Lead HR functions demonstrating successful resource management and optimisation
- Lead all administrative and finance functions in a manner that facilitates efficiency and scale

Key Skills:

- Fully qualified ACA with all levels of experience and Undergraduate or Master’s degree holder, major in Finance engineering, Accounting or quantitative related disciplines preferred.
- Excellent commercial and business experience (Not just as a COO/CFO but a Business Manager with a well-developed commercial understanding who readily thinks about the company not just from a financial and operational perspective but also from a commercial perspective).
- Exceptional communication skills at all levels.
- Ability to handle high levels of pressure and critical decision making.
- Experience of successfully implementing a pragmatic yet robust risk management framework which helps facilitates significant business growth both organically and through identifying, evaluating and implementing business acquisitions.
- Is an implementer with clear and pragmatic ability to turn strategy into actions.
- Prepared to readily switch between strategic thinking and sharp end implementation.
- Resilient and capable of working under pressure to specific deadlines and objectives while also ensuring a high work quality.
- High energy, self-assured and confident .
- Prepared to challenge and be challenged in a constructive way.
- An independent thinker who is also capable of working in a small close knit team.
- At least 8-9 years solid experience in related disciplines in an exchange, B2B fintech, bank or B2B digital assets firm.
- Experience of successfully implementing and achieving significant business growth both organically and through identifying, evaluating and implementing business acquisitions.
- Familiar with financial market operations and rules and regulations
- Solid understanding of digital assets and mainstream finance; Good knowledge of electronic trading and how technology drives such business.
- Technology savvy in terms of how it can then be used to enable the business; Solid understanding of B2B financial technology from an operational and financial perspective.
- Good knowledge of financial markets and products especially structured products, bonds and commodities; familiar with financial market operations and rules and regulations; Understanding of commodity finance/ trade finance.
