Job Summary

We are looking for a qualified and detail-oriented Company Secretary to join our Compliance team. The incumbent will be responsible for ensuring compliance with statutory and regulatory requirements under the Companies Act, maintaining statutory records, handling corporate secretarial activities, and supporting compliance under the Real Estate (Regulation and Development) Act (RERA).

Key Responsibilities

1. Company Secretarial Compliance

- Maintain and update statutory registers, minutes of Board and Committee Meetings, and other secretarial records.
- Prepare and file statutory forms, annual returns, resolutions, and other regulatory filings with the Registrar of Companies (ROC) and the Ministry of Corporate Affairs (MCA).
- Independently manage transactions relating to Non-Convertible Debentures (NCDs), Optionally Convertible Debentures (OCDs), equity share issuances, preference share issuances,



and the filing of related charges with the MCA.
- Handle dematerialization (Demat) of securities and ensure compliance with applicable regulations.
- Ensure adherence to the Companies Act, 2013, Secretarial Standards, and other applicable corporate laws.

2. RERA Compliance

- Support compliance with the provisions of the Real Estate (Regulation and Development) Act, 2016, and the applicable rules and regulations.
- Coordinate documentation and statutory filings related to RERA requirements.

3. Stakeholder Coordination

- Liaise with regulatory authorities, legal counsels, statutory auditors, internal auditors, and other external stakeholders.
- Collaborate with internal departments to ensure timely completion of compliance requirements.
- Provide support during regulatory inspections, audits, and due diligence exercises.

Qualifications

- Qualified Company Secretary (CS) and an Associate Member of the Institute of Company Secretaries of India (ICSI).

Experience

- 23 years of post-qualification experience in Company Secretarial and Corporate Compliance functions.
- Prior experience in the real estate sector or exposure to RERA compliance will be an added advantage.

Skills & Competencies

- Strong understanding of the Companies Act, 2013, Secretarial Standards, FEMA, and other applicable corporate laws and regulations.
- Working knowledge of MCA filings and corporate secretarial compliances.
- Familiarity with RERA compliance requirements is preferred.
- Excellent communication, interpersonal, and stakeholder management skills.
- Strong analytical, problem-solving, and organizational abilities.
- Ability to work independently while managing multiple priorities in a fast-paced environment.
