The Client is seeking a seasoned legal qualified to lead and manage corporate and company law matters, with a strong focus on transaction structuring, regulatory compliance, and documentation. The role will play a critical part in supporting business growth initiatives including investments, joint ventures, and capital market activities

Key Responsibilities

1. Corporate & Company Law Advisory

- Provide end-to-end legal support on company law and corporate governance matters
- Ensure compliance with applicable laws, regulations, and internal policies
- Advise senior management on legal risks and mitigation strategies

2. Transaction Structuring & Documentation

- Draft, review, and negotiate complex agreements including:
- Shareholders Agreements (SHA)
- Share Subscription Agreements (SSA)
- Joint Venture (JV) Agreements
- Investment and commercial contracts

- Support fundraising, M&A;, and strategic partnerships from a legal standpoint

3. Capital Markets & IPO Readiness

- Assist in preparation and review of IPO-related documentation
- Coordinate with external counsel, bankers, and regulatory authorities




- Ensure legal readiness for public listing and compliance with capital market regulations

4. Regulatory & Compliance

- Manage filings and compliance under Companies Act and other applicable laws
- Liaise with regulatory authorities and ensure timely submissions
- Monitor legal and regulatory developments impacting the business

5. Stakeholder Management

- Work closely with internal teams (finance, strategy, operations) to provide legal guidance
- Manage relationships with external law firms and advisors

Key Skills & Capabilities

- Strong expertise in corporate law and company law frameworks
- Deep experience in drafting and negotiating complex legal agreements
- Sound understanding of capital markets and IPO processes
- Excellent analytical, negotiation, and problem-solving skills
- Ability to operate in a fast-paced, high-growth environment

Candidate Profile

- LLB / LLM from a reputed institution
- 10+ years of experience in corporate law / company law
- Prior experience in a top-tier law firm or corporate legal team preferred
- Strong exposure to SHA, SSA, JV Agreements, M&A; transactions, and IPO documentation
- Proven ability to independently handle end-to-end legal matters
