The Chief Compliance Officer (CCO) shall be responsible for establishing, implementing, and maintaining an independent and effective compliance function for NBFC- ML in accordance with the Reserve Bank of India's Framework for Compliance Function and Role of Chief Compliance Officer in NBFC-UL & NBFC-ML and other applicable regulatory requirements. The CCO shall support the Board of Directors and Senior Management in fostering a strong compliance culture and ensuring that the Company complies with all applicable laws, regulations, regulatory directions, internal policies, and governance standards.
Key Responsibilities
Compliance Governance
- Assist the Board and Senior Management in overseeing the implementation of the Company's Compliance Policy, compliance framework, internal policies, procedures, codes of conduct, and regulatory obligations.
- Develop, implement, and periodically review the compliance framework to ensure its continued effectiveness and alignment with applicable regulatory requirements.
- Promote a strong compliance culture across the organisation through appropriate governance mechanisms and awareness initiatives.
Regulatory Compliance
- Ensure timely and effective compliance with all applicable directions, circulars, guidelines, and supervisory expectations issued by the Reserve Bank of India and other applicable regulators.
- Monitor regulatory developments and assess their impact on the Company's business, policies, products, and processes.
- Provide independent compliance advice and guidance to business and support functions on the interpretation and implementation of applicable regulatory requirements, including RBI regulations, FEMA, KYC/AML/CFT requirements, Fair Practices Code, and other applicable laws.
- Review and provide compliance inputs on new products, business initiatives, outsourcing arrangements, digital initiatives, and process changes to ensure regulatory requirements are appropriately considered prior to implementation.
- Coordinate and oversee the timely submission of regulatory filings, returns, reports, and certifications to applicable regulators.
- Advise Senior Management on emerging regulatory developments and recommend appropriate compliance measures.
Compliance Risk Management
- Play the central role in identifying, assessing, monitoring, and reporting compliance risks across the organisation.
- Maintain a compliance risk assessment framework and periodically report significant compliance risks to Senior Management and the Board.
- Support business functions in embedding regulatory requirements into operational processes while maintaining the independence of the Compliance Function.
Compliance Monitoring and Testing
- Develop, implement, and maintain a risk-based Compliance Monitoring and Testing Programme.
- Conduct periodic compliance reviews and testing to evaluate adherence to applicable laws, regulations, internal policies, and regulatory commitments.
- Monitor implementation of corrective actions arising from compliance reviews, internal audits, regulatory inspections, and supervisory observations.
- Report compliance testing results, material observations, compliance breaches, and remediation status to Senior Management and the Board or its Committees, as appropriate.
Regulatory Engagement
- Serve as the principal point of contact for the Reserve Bank of India and other regulatory authorities on compliance matters.
- Coordinate regulatory inspections, supervisory reviews, thematic examinations, and regulatory information requests.
- Ensure timely, accurate, and sustainable closure of regulatory observations and implementation of supervisory directions.
- Communicate responses to RBI inspection findings through the Compliance Function, in accordance with applicable regulatory requirements.
KYC/ AML Compliance
- Provide compliance oversight and guidance for implementation of the Company's Anti-Money Laundering (AML), and Know Your Customer (KYC), Customer Due Diligence (CDD), Enhanced Due Diligence (EDD), sanctions compliance, and Customer Acceptance Policy.
- Advise business teams on KYC and AML-related regulatory requirements, including customer onboarding, periodic KYC updation, customer risk categorisation, beneficial ownership identification, and regulatory reporting obligations.
- Monitor implementation of AML/KYC policies and regulatory requirements and recommend corrective actions where compliance gaps are identified.
Policy Management
- Lead the development, review, and periodic updating of compliance-related policies, frameworks, standards, and procedures.
- Ensure internal policies remain consistent with changes in applicable laws, regulations, and regulatory expectations.
- Provide compliance inputs during policy formulation and review across business and support functions.
Advisory and Training
- Conduct periodic compliance awareness and training programmes covering regulatory developments, Code of Conduct, Fair Practices Code, AML/KYC requirements, and other compliance obligations.
- Support business functions in embedding compliance requirements into operational processes.
Reporting
- Submit periodic compliance reports to the Board, Board Committees, and Senior Management on the status of compliance, key compliance risks, regulatory developments, material breaches, compliance testing outcomes, and remediation progress.
- Escalate significant compliance issues and regulatory breaches promptly to the appropriate governance forums.
Qualifications and Experience
- Qualified professional with a degree in Law, Company Secretary, Finance or a related discipline. Skilled certifications in Compliance, Risk Management, AML, or related fields will be an added advantage.
- Significant experience in regulatory compliance within the financial services sector, preferably with an RBI-regulated NBFC, bank, or financial institution.
- Strong knowledge of RBI regulations applicable to NBFCs, AML/KYC regulations, FEMA, and other applicable financial sector laws and regulations.
- Demonstrated experience in regulatory engagement, compliance monitoring, policy formulation, and compliance risk management.
