About the Role

Key Responsibilities

Corporate & Secretarial Compliance
Preparation and filing of forms, returns, and documents with the Ministry of Corporate Affairs (MCA).
Assistance in incorporation of companies, LLPs, and other business entities.
Maintenance of statutory registers, records, and secretarial documentation.
Drafting of board resolutions, notices, agendas, minutes, and shareholder resolutions.
Assistance in annual compliance and event-based compliances under the Companies Act, 2013.

Legal Documentation
Drafting and review of agreements, contracts, NDAs, employment agreements, and other legal documents.
Conducting legal research and preparing legal notes and opinions.
Assistance in due diligence exercises and transaction documentation.

Startup & Transaction Advisory
Support in fundraising transactions, term sheets, shareholder agreements, and investment documentation.




Assistance in ESOP implementation and corporate restructuring assignments.
Coordination with founders, investors, consultants, and regulatory authorities.

Compliance & Regulatory Support
Monitoring compliance calendars and statutory deadlines.
Liaising with government departments, specialists, and clients for compliance matters.
Assistance in FEMA, RBI, and other regulatory filings, as applicable.

Client Coordination
Regular interaction with startup founders, business owners, and management teams.
Collection and management of compliance-related information and documentation.
Preparation of status reports and compliance trackers.

Eligibility Criteria
Pursuing Company Secretaryship (CS) and eligible for ICSI training.
Robust understanding of Company Law and Corporate Compliance.
Excellent drafting and communication skills.
Proficiency in Microsoft Office (Word, Excel, PowerPoint).
