About OEC
OEC Group is a manufacturer of electrical connectivity, and related industrial products, with global operations. We are formalizing our legal function and looking for a Corporate Lawyer to build and own it.
About the Role
This is a newly created position designed to centralize and professionalize legal operations across the OEC group of companies. You will be the primary point of contact for all corporate legal matters — coordinating outside counsel where needed, managing contracts end-to-end, advising on corporate structure, and supporting dispute resolution. This role is ideal for someone who wants to build a legal function from the ground up, with the autonomy to set processes and the trust to represent the company's legal interests independently.
While caseload is currently moderate, the position is intended to grow into a full Group General Counsel function as the company scales, including recent entity formation, M&A; activity, and other legal obligations.
Key Responsibilities
Contracts
- Draft, review, and negotiate contracts with customers, suppliers, distributors, rep agents, and employees
- Build and maintain standardized templates (NDAs, distributor agreements, vendor contracts, employment agreements, credit/onboarding documents)
- Flag and resolve legal risk in commercial terms before execution
Litigation & Dispute Coordination
- Serve as the internal point of contact for active and potential lawsuits
- Coordinate with external litigation counsel, track case status, and manage documentation
- Support settlement negotiations and risk mitigation strategy
Corporate Structuring & Governance
- Advise on company formation, subsidiary structuring, and ownership matters across the group
- Maintain statutory compliance, board resolutions, and corporate records
- Support inter-company agreements and cross-border structuring between global group entities
Employment & HR Legal Matters
- Draft employment contracts, offer letters, and termination documentation
- Advise on employment law compliance (India and, where relevant, US)
- Handle workplace disputes and disciplinary matters requiring legal input
Regulatory & Compliance
- Monitor and advise on regulatory obligations relevant to manufacturing and cross-border trade
- Support compliance filings and documentation as needed (e.g., FEOC, FDI/FEMA, other regulatory declarations)
Intellectual Property
- Support trademark and patent filings/renewals for OEC branded products
- Maintain basic IP protection protocols
Family & Promoter Matters
- Provide legal support on select matters involving promoter family assets and structures, as directed by leadership
- Coordinate with external advisors on succession or estate matters where applicable
General
- Coordinate with external counsel (India and international, as needed) on matters outside your jurisdiction of practice
- Build out legal processes, templates, and documentation standards for the group
- Report on legal matters, risk exposure, and open items to leadership regularly
Qualifications
- LLB (or equivalent law degree); qualified to practice in India
- 3+ years of experience in corporate law, ideally in-house or with exposure to manufacturing, trade, or family-owned business structures
- Strong contract drafting and negotiation skills
- Experience coordinating litigation with external counsel
- Familiarity with corporate governance and company law (Companies Act, FEMA/FDI basics)
- Comfortable working independently and building a function from scratch
- Discretion and judgment in handling sensitive family/ownership matters
- Strong written and verbal communication in English
Preferred (Not Required)
- Exposure to cross-border legal or compliance matters
- Experience with employment law across multiple jurisdictions
- Prior work with manufacturing, electrical, or industrial companies
- Experience supporting M&A; due diligence
