About the Legal Shared Services Team ("LSST")
The Legal Shared Services Team ("LSST") is the multi-disciplinary legal team supporting all lines of business—including Corporate Sector, Commercial Banking, Consumer and Community Banking, Corporate and Investment Banking, and Asset and Wealth Management—across North America; Europe, the Middle East and Africa; and Asia-Pacific. LSST handles high-volume contract and document work, legal analysis, and legal process optimization, with opportunities to contribute to automation and AI enablement. The team works closely with onshore Practice Group attorneys and stakeholders, and provides specialized corporate secretarial services to the Office of the Secretary practice group. You must have strong legal analytical and collaborative skills, be able to work both independently and within the team, and be a true "self-starter."

Job Responsibilities
- Address firm-wide inquiries through the AskOTS database on corporate governance, legal entity, and signing-authority matters.
- Prepare Powers of Attorney, Incumbency Certificates, and Secretary's Certificates.
- Prepare and maintain the Authorized Signatory Lists, ensuring timely updates in accordance with internal procedures.
- Review and update signing-authority instruments, including Powers of Attorney and Delegations of Authority, in the required systems.
- Coordinate monthly cost-center changes and update signing-authority records in GEMS.
- Transactional legal support: Draft, review, and negotiate a range of corporate documents with clients (e.g., NDAs, including back-to-back agreements and joinders; non-reliance and reliance letters; commitment and syndication letters; and medium-term note issuances and program updates).
