- Ensure compliance with the Companies Act, 2013 and applicable corporate laws
- Handle secretarial filings, including annual and event-based filings with regulatory authorities
- Organize and manage Board Meetings and Shareholders’
- Meetings, including preparation of notices, agendas, and minutes
- Maintain statutory registers, records, and corporate documentation
- Ensure compliance with FEMA regulations, including reporting of foreign investments (e.g., FCGPR, FLA returns)
- Liaise with authorities such as MCA and RBI
- Manage shareholding-related activities, including issuance and transfer of shares involving foreign shareholders
- Support cross-border transactions, restructuring, and due diligence processes
- Ensure timely and accurate statutory filings, maintenance of statutory registers, and regulatory reporting
- Manage end-to-end Board and Committee processes, including agenda setting,
board packs, minutes, and action tracking.
- Advise management on corporate governance and regulatory matters.
- Ensure compliance with Companies Act, 2013 and applicable Secretarial
Standards.
- Advise Directors and senior leadership on governance best practices and fiduciary responsibilities.
- Support Governance Requirements Of The Company.
- Liaise with regulators, auditors, and external consultants.

- Risk Management
- Develop, implement, and monitor compliance frameworks across India.
- Track changes in regulatory setting and advise business on implications.
- Support internal audits, compliance certifications, and policy implementation.
- Legal Support (Selective)
- Assist in review of standard contracts including NDAs, vendor agreements, and engagement documents.
- Coordinate with legal counsel on litigation and dispute-related documentation.
- Stakeholder &
- Team Management
- Lead and mentor the corporate secretarial team in India.
- Work closely with senior management, finance, HR, and global legal teams.
Qualifications And Experience
- Qualified Company Secretary (ACS) with 3-4 years of post-qualification experience.
- LL.B. qualification added advantage preferred.
