Build and own the legal and commercial function of a high-growth UK healthcare SaaS company

Script Assist is looking for an exceptional Legal & Commercial Counsel to work directly with the CEO and increasingly take ownership of the company’s legal, contracting and privacy function.

This is not a traditional back-office legal role.

We are looking for an in-house lawyer who is commercially sharp, exceptionally organised and capable of taking quick-moving, sometimes messy information and turning it into clear decisions, actions and completed work.

You will be expected to own matters through to completion, not simply provide legal advice and hand them back to the business.

For the right person, this is a significant career opportunity with the potential to grow into leadership of the legal function as Script Assist scales.

About Script AssistScript Assist is building the operating system for next-generation private healthcare in the UK.

Our software already supports tens of thousands of medical cannabis prescriptions each month through clinics, pharmacies and healthcare operators across the UK.

We are expanding into additional private healthcare markets including:

- ADHD
- weight management
- longevity
- specialist private medicine
- other complex healthcare categories

This is not generic SaaS. We operate in regulated healthcare, where contracts, privacy, data protection, IP, customer commitments, clinical workflows and commercial precision matter.

The opportunityYou will work directly with the CEO and senior management team across:

- SaaS and technology contracts
- customer negotiations and redlines
- platform agreements and order forms
- commercial terms and pricing schedules
- supplier and partner agreements
- NDAs
- data processing agreements
- UK GDPR and privacy matters
- security and privacy questionnaires
- contract and legal operations
- external UK counsel
- customer and supplier disputes
- company policies and governance
- commercial/legal risk analysis

Over time, we also expect the role to become increasingly important in privacy and data protection. We intend to support the successful candidate in developing deeper UK data-protection expertise, with the potential to become Script Assist’s internal privacy lead and, subject to experience and readiness, ultimately assume formal Data Protection Officer responsibility.

What the role is really aboutWe need someone who can take ownership.

If a customer sends a contract redline, you should be able to:

1. understand what has changed;
2. identify what matters;
3. obtain any necessary input from the business;
4. recommend a commercial/legal position;
5. negotiate or coordinate the response;
6. keep track of outstanding points;
7. get the agreement completed; and
8. ensure any commitments made are captured and followed through.

The same principle applies across the role. We want someone who makes sure:

no contract, obligation, deadline, decision,



risk or action gets lost.

What you will doYou will support and increasingly own work including:

Commercial contracts

- Draft, review and negotiate SaaS and technology agreements
- Review customer redlines and recommend positions
- Prepare and manage platform agreement packs
- Draft and review order forms, pricing schedules and commercial terms
- Review supplier, partner and service agreements
- Draft and negotiate NDAs
- Maintain clear records of agreed contractual positions and customer commitments

Privacy and data protection
- Draft and review DPAs
- Support UK GDPR compliance
- Help maintain privacy documentation and policies
- Support and increasingly lead DPIAs
- Coordinate responses to data-subject requests and privacy complaints
- Support data-breach and incident processes
- Review international data-transfer arrangements
- Coordinate customer privacy and security questionnaires
- Help build and maintain Script Assist’s privacy governance programme

Legal operations
- Maintain a reliable contract repository
- Track renewals, obligations, actions and deadlines
- Maintain legal and commercial trackers
- Develop templates, playbooks and repeatable processes
- Coordinate signatures and contract completion
- Prepare clear briefing notes for the CEO and management team
- Manage and coordinate work sent to external UK lawyers
- Ensure matters are followed through without needing to be chased

Commercial supportYou will also work closely with the CEO on significant customer and commercial matters. You should be able to understand:
- what a customer is trying to achieve;
- what Script Assist has commercially agreed;
- where contractual risk actually matters;
- what is negotiable;
- what requires escalation; and
- how to get a deal completed without creating unnecessary legal friction.

What we are looking forWe are looking for someone who is already capable of operating as an effective in-house commercial lawyer.

You will normally have approximately 4–8 years of post-qualification legal experience, although we will consider exceptional candidates outside that range.

EssentialYou should have

- qualification to practise law in India;
- meaningful in-house legal experience;
- experience drafting and negotiating commercial contracts;
- experience with software, SaaS, technology or another comparable B2B business;
- direct experience dealing with customer contracts and commercial negotiations;
- excellent spoken and written English;
- excellent attention to detail;
- exceptional organisation and follow-through;
- strong commercial judgement;




- confidence communicating with senior stakeholders;
- comfort working directly with a founder/CEO;
- willingness to work UK business hours; and
- the ability to work independently in a fast-moving environment.

Particularly valuableExperience in any of the following would be useful:
- SaaS agreements
- software licensing
- technology contracts
- DPAs
- GDPR / UK GDPR
- privacy
- healthcare or another regulated industry
- contract lifecycle management
- legal operations
- supplier agreements
- IP clauses
- security questionnaires
- external-counsel management
- building legal processes or templates

You do not need to arrive as an experienced DPO. We care more about strong legal fundamentals, judgement, precision and the ability to learn.

- spot what has been missed;
- follow written instructions precisely; and
- reliably close actions without needing repeated reminders.

If you need every task to arrive perfectly structured before you can execute it, this probably will not be the right environment. If you enjoy creating order from complexity, it may be.

You should be comfortable using modern AI tools to improve:

- research;
- drafting;
- contract review;
- summarisation;
- issue identification;
- legal operations;
- internal knowledge management; and
- workflow automation.
