Job Description Job Title: Senior Manager/AVP– Operations n Location: New Delhi n Reporting To: Head Operations-AIF n Industry: SEBI Registered Category II Alternative Investment Fund (AIF) n Role Summary n The Senior Manager/AVP – Operations will be responsible for overseeing AIF operations with primary ownership of documentation governance, regulatory filings, transaction documentation control for a SEBI-registered Category II AIF. The role requires strong regulatory understanding, precision in documentation management, and coordination across legal, compliance, investment, and fund administration teams.n Key Responsibilities n 1. Transaction&Deal; Documentation (Core Responsibility) n Coordinate documentation for investment transactions including: n Manage investor onboarding, KYC documentation, and AML processes. n Coordinate with external legal counsel for transaction documentation and closing. n Ensure documentation reflects agreed commercial terms (coupon, IRR, redemption premium, covenants, security cover, cash flow waterfall).n Oversee CP (Conditions Precedent) and CS (Conditions Subsequent) tracking and closure. n SHA / SSA / Debenture Subscription Agreements n Coordinate with Trustees including appointment, fees negotiations and scope of responsibilities. n Escrow agreements n Pledge agreements n Ensure proper execution,



stamping, and safe custody.n Maintain master documentation repository (physical&digital;). n Ensure proper version control and document audit trails. n Maintain transaction closing checklists and records. n Ensure adherence to internal SOPs and governance framework. n 2. Stakeholder Management n Coordinate cross-functionally with investment, finance, compliance, and legal teams.n Liaise with debenture trustees and security trustees. n 3. Technology&Record; Management n Implement document management system (DMS). n Ensure secure digital storage and restricted access controls. n Drive automation in reporting and compliance tracking. n Implement documentation control framework as per SOP. n Ensure proper archival policy as per regulatory norms.n 4. Qualifications&Experience; n Postgraduate/CS / LLB / MBA preferred. n 7–10+ years of experience in Category II AIF (Private Equity / Debt Fund / Real Estate Fund). n 5.
