nAbout the Role
nOrios is looking for a Manager - Legal compliance to join our team in Mumbai. If you have experience in venture capital, private equity, AIFs, or financial services and enjoy working on investments, fund documentation, and regulatory compliance, we‘d love to hear from you.

nWhat You‘ll Do
n
- n
- Manage fund documents including Term Sheets, PPMs, IMAs, and Contribution Agreementsn
- Track and implement regulatory changes related to SEBI AIF, RBI, and FEMAn
- Work with legal advisors and regulators to ensure timely compliance and statutory filingsn
- Support investor-related legal and compliance activitiesn
- Draft, review, and negotiate investment documents such as TS, SSHA, SSA, and SPAn
- Conduct legal and compliance due diligence for portfolio companiesn
- Work closely with internal teams and external stakeholders to support investment transactionsn
- Draft and review agreements with vendors, distributors,



referral partners, and service providersn
- Support litigation matters by coordinating with external legal counseln
- Assist in Board, Committee, and Shareholder meeting compliancesn

nWhat We‘re Looking For
n
- n
- LLB is mandatory; Company Secretary (CS) is preferredn
- 7-10 years of legal experience, with 2-3 years in a Venture Capital Fund, AIF, Private Equity, or similar investment platform preferredn
- Solid understanding of SEBI AIF Regulations, RBI/FEMA, Corporate Law, Securities Law, and Contract Lawn
- Experience in drafting, reviewing, and negotiating legal documentsn
- Strong analytical, communication, and stakeholder management skillsn
- Ability to manage multiple priorities in a fast-paced environmentn
