Key Responsibilities
- Lead the review, drafting, negotiation, and execution of project finance documentation with lenders, financial institutions, investors, and other transaction counterparties.
- Act as the primary legal liaison between internal stakeholders, external legal counsels, and lenders' counsels to ensure timely closure of financing transactions while effectively managing legal and commercial risks.
- Analyze financing documents and provide practical legal advice on contractual obligations, risk allocation, regulatory compliance, and transaction structures to support business objectives.
- Maintain comprehensive documentation, version control, transaction trackers, and legal records for all project finance matters,
ensuring compliance with internal governance and audit requirements.
- Develop a robust understanding of project financing structures and ensure all legal documentation aligns with approved commercial terms, company policies, and applicable laws.
- Review, draft, and negotiate key financing and security documents, including:
- Facility Agreements
- Term Sheets
- Debenture Trust Deeds
- Security Documents
- Indemnities
- Powers of Attorney
- Guarantees
- Inter-Creditor Agreements
- Escrow Agreements
- Other ancillary project finance documentation as required.
