Role Summary
We are looking for an experienced Company Secretary to oversee corporate governance, statutory compliance, Board processes, and regulatory affairs. The ideal candidate will ensure compliance with applicable laws, support the leadership team on governance matters, and maintain high standards of corporate compliance.
Key Responsibilities
- Ensure compliance with the Companies Act, Secretarial Standards, FEMA, and other applicable laws.
- Organize and manage Board Meetings, Committee Meetings, AGMs, and EGMs.
- Prepare agendas, notices, resolutions, and minutes of meetings.
- Maintain statutory registers, records, and corporate documentation.
- Ensure timely filing of statutory returns and regulatory compliances with ROC and other authorities.
- Liaise with auditors, legal advisors, regulatory authorities, and other stakeholders.
- Support corporate restructuring, due diligence,
and project-related legal compliance.
- Advise management on corporate governance and regulatory changes.
Required Qualifications
- Qualified Company Secretary (ICSI Member).
- 810 years of post-qualification experience in Company Secretarial and Corporate Compliance.
- Experience in the Real Estate, Infrastructure, or Construction industry is preferred.
- Strong knowledge of the Companies Act, Secretarial Standards, FEMA, and corporate governance practices.
- Excellent drafting, communication, and stakeholder management skills.
