Job Overview

We are seeking a highly skilled Manager to independently lead the legal and structuring workstream for our MA mandates. The ideal candidate will have extensive experience advising on deal structure, drafting and negotiating transaction documents, and managing the entire acquisition process from term sheet to signing. This role requires a proactive individual who can own mandates independently and provide strategic legal advice to business teams.

Key Responsibilities
- Lead Legal Structuring: Oversee legal structuring and documentation for all MA mandates, including acquisitions, stake sales, mergers, and restructurings.
- Draft and Negotiate Documents: Independently draft and negotiate share purchase agreements, shareholders agreements, share subscription agreements, transaction notes, and ancillary documents.
- Advise on Deal Structure: Provide strategic advice on optimal deal structures (e.g., share swap vs. cash, slump sale vs.



itemized sale, direct vs. indirect acquisition) for tax and regulatory efficiency.
- Legal Due Diligence: Lead or coordinate legal due diligence efforts, identifying and flagging material risks before term sheet signing.
- Liaison with Stakeholders: Work closely with external counsel, regulators (SEBI / CCI / RBI as applicable), and other advisors to ensure transactions stay on schedule.
- Deal Tracking: Maintain a detailed log of every mandates status in the deal tracker within 24 hours and submit a weekly deal status report every Monday.

What You Will Do
- Structuring Notes and Legal Memos: Prepare a structuring note and legal memo for each MA mandate within 5 working days of briefing.
- Draft Transaction Documents: Create the first-cut transaction document (term sheet / SPA / SHA) within agreed timelines, ensuring it is tailored to the specific deal rather than a generic template.
