Job Description
Key Responsibilities
n
Board & Committee Governance
n
n
- Assist in convening meetings of the Board of Directors and other Board-level committees as mandated for NBFCs.
n
- Prepare and circulate notices, agendas, and detailed minutes within statutory timelines; maintain minute books and follow up on action items.
n
- Coordination on scheduling, disclosures, declarations (Form DIR-8, MBP-1), and Director KYC (DIR-3 KYC).
n
- Support the Board and committees in implementing governance practices including policies.
n
- Support maintenance of statutory registers, records, and disclosures required under the RBI's corporate governance guidelines for NBFCs.
n
n
Statutory & Secretarial Compliance
n
n
- Prepare and file statutory forms and returns with the Registrar of Companies (RoC) / MCA21 portal, including annual returns (MGT-7), financial statements (AOC-4), charge filings (CHG-1/CHG-4), and other event-based filings.
n
- Maintain and update statutory registers required to be maintained under the Companies Act, 2013.
n
- Assist in convening the Annual General Meeting (AGM), Extraordinary General Meetings (EGM), including preparation of notices, resolutions, and explanatory statements.
n
- Support drafting and maintenance of the Annual Report and any other relevant reports as may be statutorily required under any relevant provisions of the act applicable to the Company.
n
- Maintain and update the compliance calendar/tracker covering all applicable laws.
n
- Prepare periodic compliance certificates and MIS reports for the Board, Audit Committee, and senior management.
n
- Support internal, statutory and secretarial auditors during audits and inspections, and assist in closing observations/action points.
n
- Assist in maintaining the company's policies
n
n
Other Responsibilities
n
n
- Support due diligence, documentation and secretarial compliance for fund-raising activities
n
- Coordinate with legal,
finance and business teams to ensure alignment of corporate actions with regulatory requirements.
n
- Keep abreast of amendments in corporate and financial sector laws and proactively advise management on their impact.
n
- Assist in managing correspondence with debenture trustees, depositories (NSDL/CDSL), and Registrar & Transfer Agents (RTA).
n

Minimum Qualifications
n
n
- Associate Member of the Institute of Company Secretaries of India (ICSI) with 2–4 years of post-qualification experience in Company Secretarial functions, preferably within an NBFC, Bank, or RBI-regulated Financial Services organization.
n
- Alternatively, Semi-qualified CS professionals with 5–8 years of relevant experience in Company Secretarial and Compliance functions.
n
- Strong working knowledge of: Companies Act, 2013, RBI Master Directions applicable to NBFCs, Secretarial Standards (SS-1 & SS-2), FEMA , SEBI (LODR) Regulations (where applicable)
n
- Hands-on experience with MCA21 portal, ROC filings, Corporate Actions, and regulatory compliance.
n
- Excellent drafting skills for Board Minutes, Resolutions, Notices, and regulatory correspondence.
n
- Strong communication, stakeholder management, and coordination skills.
n
- Proficiency in MS Office and secretarial/compliance management tools.
n

Preferred Qualifications
n
n
- Prior experience in an NBFC, Bank, FinTech,
or other RBI-regulated financial institution.
n
- Exposure to fund-raising transactions, due diligence, and corporate restructuring activities.
n
- Experience working with NSDL/CDSL, Registrar & Transfer Agents (RTA), and Debenture Trustees.
n
- Familiarity with governance reporting, compliance MIS, and Board management processes.
n
- Robust analytical, organizational, and problem-solving abilities with exceptional attention to detail.
n
