Key Responsibilities
Lead the review, drafting, negotiation, and execution of project finance documentation with lenders, financial institutions, investors, and other transaction counterparties.
Act as the primary legal liaison between internal stakeholders, external legal counsels, and lenders' counsels to ensure timely closure of financing transactions while effectively managing legal and commercial risks.
Analyze financing documents and provide practical legal advice on contractual obligations, risk allocation, regulatory compliance, and transaction structures to support business objectives.
Maintain comprehensive documentation, version control, transaction trackers, and legal records for all project finance matters,
ensuring compliance with internal governance and audit requirements.
Develop a robust understanding of project financing structures and ensure all legal documentation aligns with approved commercial terms, company policies, and applicable laws.
Review, draft, and negotiate key financing and security documents, including:
Facility Agreements
Term Sheets
Debenture Trust Deeds
Security Documents
Indemnities
Powers of Attorney
Guarantees
Inter-Creditor Agreements
Escrow Agreements
Other ancillary project finance documentation as required.
