HyFun a leading brand in Frozen Food in India with exports in more than 40+ countries is seeking to strengthen its Legal Team. We are looking to fill the Manager Secretarial position based at Thaltej, Ahmedabad.

Position/Profile Title: Manager Secretarial

Grade: Assistant Manager or Deputy Manager or Manager

Job Location: Thaltej, Ahmedabad

Department: Legal

Qualification: Qualified Company Secretary / LLB preferred

Essential Area of Expertise:
Manage end-to-end secretarial compliances for the group companies under the Companies Act, 2013.
Lead and mentor the group secretarial team, allocate work, review deliverables, and ensure timely completion of compliance activities.
Support fundraising transactions (both equity and debt), due diligence exercises, banking and financing documentation, IPO readiness initiatives, and other strategic corporate transactions from a secretarial and compliance perspective.
Lead and coordinate corporate restructuring initiatives, including mergers, amalgamations, group restructuring, incorporation, and closure of entities,



and related regulatory compliance.
Support implementation and administration of ESOP schemes and related compliances.
Convene and manage Board Meetings, Committee Meetings, annual general meetings, and Extraordinary General Meetings
Draft notices, agendas, board notes, minutes and resolutions in compliance with secretarial standards.
Ensure timely filing of ROC forms and maintenance of statutory registers and records.
Handle alteration of constitutional documents, share allotments, transfer/transmission of shares, increase in authorized capital, and other corporate actions.
Liaise with statutory auditors, secretarial auditors, practicing specialists, banks, financial institutions, investors, and regulatory authorities.

Desired Area of Expertise:
8 to 10 years of post-qualification experience in corporate secretarial functions.
Experience in independently handling multiple group entitie
