Role Description The Manager Compliance & Legal will oversee regulatory compliance, legal documentation, and risk management for seafund’s investment operations. This full time, on-site role based in Bengaluru involves managing SEBI and AIF regulatory requirements, Legal & Compliance for Investment deals, monitoring adherence to fund policies, and maintaining accurate legal and compliance records. The role includes drafting, reviewing, and negotiating investment-related agreements and term sheets, coordinating with external legal and advisory firms, and supporting due diligence for prospective investments.





The Manager will develop and implement compliance frameworks, conduct periodic compliance audits, and provide guidance to the investment team and portfolio companies on legal and regulatory matters. This position also contributes to continuous process improvement, ensuring that seafund’s practices remain aligned with evolving laws, regulations, and industry standards.

Qualifications

- Strong knowledge of securities laws, SEBI regulations, AIF guidelines, and corporate law, with experience applying these in investment or fund management contexts.
- Proficiency in drafting, reviewing, and negotiating legal documents such as term sheets, shareholder agreements, investment agreements, and policy frameworks.
- Experience designing and implementing compliance programs, including internal controls, monitoring mechanisms, and periodic compliance audits.
- Ability to collaborate with cross-functional teams, coordinate with external legal, accounting, and consulting partners, and communicate complex legal issues clearly.
- Relevant academic background such as qualifies CS with LLB/LLM or equivalent legal qualification with ; prior experience in a fund, financial services or venture capital environment is highly beneficial.
- Strong analytical, organizational, and documentation skills, with attention to detail and a high level of integrity and professional ethics.
- Comfort working in a fast-paced, growth-oriented setting and supporting early-stage companies on legal and compliance matters.
