Position Title- Legal Manager

Position Summary The Legal Manager Legal Operations will be responsible for managing all legal aspects of land acquisition, title due diligence, property documentation, regulatory compliance, and legal risk management for the Company's real estate projects. The role involves ensuring clear and marketable land titles, conducting comprehensive legal investigations, drafting and vetting legal documents, coordinating with solicitors, government authorities, landowners, and internal stakeholders, and maintaining legal records to support seamless project execution.

The incumbent will play a critical role in safeguarding the Company's legal interests while ensuring compliance with applicable laws and facilitating timely land acquisition and project development.

Key Responsibilities

1. Land Acquisition & Legal Due Diligence

- Conduct comprehensive legal due diligence for proposed land acquisitions and development projects.
- Evaluate ownership, title, encumbrances, litigation risks, and statutory compliances.
- Assess the legal, commercial, and operational feasibility of land parcels.
- Prepare detailed Legal Feasibility Reports and Due Diligence Reports for management review.
- Identify legal risks and recommend mitigation strategies before acquisition.

2. Title Investigation & Ownership Verification

- Examine, verify, and authenticate title deeds, sale deeds, conveyance deeds, mutation records, Record of Rights (RoR), revenue records, and all supporting documents.
- Conduct detailed title investigations to establish transparent and marketable ownership.
- Analyze ownership history and succession records.
- Prepare Title Search Reports, Title Devolution Charts, and Ownership Flow Reports.
- Coordinate with external solicitors for independent title verification whenever required.
- Ensure lawful succession and ownership prior to registration or acquisition.

3. Legal Documentation & Contract Management Draft, review, negotiate, and vet legal documents including but not limited to:

- Agreement for Sale
- Sale Deed / Conveyance Deed
- Joint Development Agreement (JDA)
- Development Agreement
- Development Management Agreement (DMA)
- Power of Attorney (POA)
- Memorandum of Understanding (MoU)
- Indemnity Bonds
- Affidavits
- Declarations
- Lease Agreements
- Assignment Agreements
- Supplementary Agreements
- Legal Notices
- Other real estate and commercial agreements

Additional Responsibilities:
- Ensure legal accuracy and compliance of all contracts.
- Maintain proper indexing, tagging, version control, and archival of legal documents.
- Support execution, registration, and stamping of legal instruments.

4. Litigation & Legal Risk Management

- Coordinate with external advocates, solicitors, and legal consultants.
- Monitor ongoing litigation relating to land and property matters.
- Review legal notices, court cases, and disputes affecting projects.




- Prepare litigation status reports for management.
- Assist in developing legal strategies for dispute resolution.
- Recommend preventive legal measures to minimize project risks.

5. Government Liaison & Regulatory Compliance

- Liaise with government departments, registration offices, municipal authorities, revenue authorities, BL&LRO; offices, land reforms departments, and other statutory bodies.
- Obtain approvals, permissions, registrations, certified copies, and legal records.
- Monitor compliance with applicable central, state, and local laws.
- Ensure timely completion of statutory formalities relating to land acquisition and project development.

6. Stakeholder Management Coordinate and maintain effective working relationships with:

- Landowners
- Brokers and Land Aggregators
- Government Authorities
- Registration Offices
- Revenue Officials
- External Solicitors
- Legal Consultants
- Vendors
- Internal Project Teams

Responsibilities include:
- Collection and verification of legal documents.
- Conducting negotiations where required.
- Organizing stakeholder meetings.
- Preparing and circulating Minutes of Meeting (MoM).
- Resolving documentation-related queries.

Ensure systematic filing and secure maintenance of all legal records. 8. Site Inspection & Field Verification

- Visit proposed project sites and existing developments as required.
- Conduct physical verification of land parcels.
- Verify possession, boundaries, access roads, and site conditions.
- Coordinate with surveyors and technical teams during inspections.
- Prepare Site Inspection Reports and submit findings to management.

9. Legal Advisory & Project Support

- Provide legal advice to internal business teams on property-related matters.
- Support project planning by identifying legal risks at an early stage.
- Assist management during commercial negotiations involving land acquisition.
- Keep management informed of changes in property laws, land regulations, and statutory requirements.

Qualifications

Essential

- Bachelor's Degree in Law (LL.B.) from a recognized university.

Preferred

- LL.M. or specialization in Property Law, Real Estate Law, or Corporate Law.
- Additional certifications in Land Laws, Real Estate Regulations, or Contract Management will be an advantage.

Experience

- 1012 years of progressive experience in Real Estate Legal, Land Acquisition, Property Documentation, Title Investigation, and Legal Due Diligence.
- Proven experience in handling large-scale land acquisition and development projects.
- Experience in liaising with government authorities and registration offices.
- Prior experience with reputed real estate developers or infrastructure companies will be preferred.
