/n The Deputy Vice President – Fund Management will work closely with the Vice President – Fund Management in driving investment origination, deal structuring, transaction execution, portfolio management, and fundraising initiatives. The incumbent will play a key role throughout the investment lifecycle—from evaluating opportunities and structuring transactions to monitoring portfolio performance and supporting successful exits. /n /n The role requires solid expertise in private credit, structured finance, Alternative Investment Funds (AIFs), financial modelling, valuation, transaction execution, and stakeholder management. /n /n Key Responsibilities /n /n Investment Evaluation & Execution /n /n  Evaluate investment opportunities across multiple sectors aligned with the Fund's investment strategy. /n  Conduct detailed financial, commercial, operational, and industry due diligence. /n  Build robust financial models, valuation models, and return analysis (IRR, MOIC, Yield). /n  Prepare Investment Committee notes, investment memorandums, and recommendation papers. /n  Coordinate end-to-end execution of investment transactions from initial evaluation to financial closure. /n  Liaise with legal, compliance, tax, technical, and external advisors throughout the transaction lifecycle. /n /n Deal Structuring /n /n  Structure investments across private credit, structured debt, mezzanine financing, growth capital, and hybrid instruments. /n  Design innovative financing solutions tailored to investee companies based on their business model, cash flows, collateral profile,



and growth requirements. /n  Evaluate and recommend appropriate capital structures, including senior debt, subordinated debt, convertible instruments, CCDs, CCPS, OCDs, and other structured products. /n  Develop transaction structures incorporating collateral packages, escrow mechanisms, repayment waterfalls, guarantees, security creation, and financial covenants. /n  Lead commercial negotiations on key transaction terms with promoters, borrowers, co-investors, lenders, and advisors. /n  Work closely with legal and tax advisors to ensure commercially viable, legally robust, and tax-efficient transaction structures. /n  Identify and implement risk mitigation measures through security structures, covenant packages, downside protection mechanisms, and monitoring frameworks. /n  Review and negotiate term sheets, facility agreements, investment agreements, security documents, and other transaction documentation. /n  Present transaction structures and investment recommendations to the Investment Committee. /n  Support restructuring, refinancing, follow-on investments, amendments, waivers, and exit structuring for portfolio companies.



/n /n Portfolio Management /n /n  Monitor financial and operational performance of portfolio companies. /n  Analyze monthly MIS, financial statements, and covenant compliance. /n  Prepare portfolio performance dashboards and risk reports. /n  Track investment performance against approved business plans. /n  Support portfolio companies in strategic initiatives and value creation. /n  Participate in Board meetings and portfolio review discussions. /n  Identify early warning signals and recommend corrective actions. /n /n Fund Management /n /n  Support overall fund deployment strategy and capital allocation decisions. /n  Monitor fund performance, portfolio returns, and deployment efficiency. /n  Coordinate with Fund Administrator, Trustee, Custodian, Auditors, and Compliance teams. /n  Assist in NAV monitoring, drawdowns, distributions, and fund reporting. /n  Ensure compliance with SEBI AIF Regulations and internal investment policies. /n /n Stakeholder Management /n  Build relationships with promoters, founders, intermediaries, investment bankers, consultants, legal firms, and financial institutions. /n  Coordinate effectively with internal teams including Legal, Finance, Compliance, Risk, and Operations. /n  Represent the Fund in meetings, conferences, and industry forums when required. /n /n Desired Candidate Profile /n Education /n  CA / CFA / MBA (Finance) from a reputed institution. /n  CA with CFA or MBA Finance will be preferred
