Job Responsibility :-

Chief Financial Officer (CFO) – Pre-IPO, IPO & Post-IPO

1. Position Details Position: Chief Financial Officer (CFO)

- Reporting to: Managing Director / CEO / Board of Directors
- Location: Raipur Industry: [Steel / Manufacturing / Energy]
- Employment Type: Full Time – Senior Management Position

2. Role Purpose

- The CFO will be responsible for leading the Company's entire finance, accounting, treasury, taxation, controllership, financial planning, risk management and internal control functions, with specific responsibility for successfully navigating the Company through its ongoing Mainboard IPO and establishing a robust finance and governance framework for the post-listing environment.
- The CFO will act as a strategic business partner to the MD/CEO and Board while ensuring complete financial discipline, transparency, regulatory compliance, investor confidence and sustainable value creation.
- The role requires strong hands-on experience in IPO readiness, SEBI/Companies Act requirements, financial reporting, Ind AS, internal controls, due diligence, capital markets, investor relations and listed-company compliance.

3. KEY RESPONSIBILITIES A.

IPO Leadership & Execution The CFO will be the principal finance leader for the Company's ongoing IPO process and will:

- Lead the finance workstream for the Mainboard IPO from DRHP through RHP, IPO closure and listing. - Work closely with the Merchant Banker, Legal Counsel, Statutory Auditors, Reporting Accountants, Tax Advisors, Secretarial Team and other IPO advisors.
- Ensure timely completion of all financial information, schedules, certifications and due-diligence requirements.
- Coordinate preparation and review of DRHP/RHP financial disclosures and related financial information.
- Ensure consistency and accuracy of financial information appearing in the offer documents.
- Drive closure of all financial, tax, legal, commercial and accounting due-diligence observations.
- Coordinate responses to SEBI, Stock Exchanges and other regulatory queries relating to financial matters.
- Ensure readiness for IPO-related financial certifications and management representations.
- Review related-party transactions, contingent liabilities, outstanding litigations, indebtedness and other matters requiring IPO disclosure.
- Ensure appropriate treatment and disclosure of exceptional, non-recurring and related-party transactions.
- Lead IPO-related financial restructuring, capitalisation and balance-sheet optimisation.
- Monitor IPO expenses, utilisation and accounting treatment.




- Ensure IPO proceeds are appropriately tracked and subsequently utilized in accordance with the disclosed objects of the issue.

4. FINANCIAL REPORTING & IND AS

- Own the Company's monthly, quarterly, half-yearly and annual financial reporting process.
- Ensure compliance with Ind AS, Companies Act, SEBI regulations and applicable listing requirements.
- Ensure timely preparation of standalone and consolidated financial statements.
- Ensure robust financial MIS and management reporting.

5. IPO-READY INTERNAL CONTROLS & GOVERNANCE

- Establish and maintain a strong internal financial control framework. - Ensure effective Maker–Checker controls across finance and business processes.
- Lead implementation and documentation of SOPs and financial controls. - Coordinate with Internal Audit and ensure timely closure of audit observations.
- Develop a robust Internal Financial Controls (IFC) framework suitable for a listed company. - Ensure adequate segregation of duties.
- Establish a formal financial delegation-of-authority framework.
- Drive automation and system-based controls to reduce manual intervention and financial risk.

6. TREASURY & CAPITAL STRUCTURE

- Manage the Company's overall liquidity and working capital.
- Develop an optimum capital structure balancing debt and equity.
- Manage banking relationships and financing arrangements.
- Negotiate borrowing terms, interest rates, security structures and covenants.
- Monitor debt repayment schedules and covenant compliance.
- Optimise cash flows and working capital.

7. FP&A;, BUDGETING & BUSINESS FINANCE

- Lead annual budgeting and long-term business planning.
- Establish rolling forecasts and cash-flow forecasts.
- Develop business-unit and plant-level financial performance dashboards.
- Analyse revenue, EBITDA, margins, working capital and cash conversion.
- Provide management with actionable variance analysis.

8. TAXATION

- Ensure complete and timely compliance with direct and indirect tax laws.
- Oversee income tax, GST, TDS and other applicable tax matters.
- Develop tax-efficient business structures within the applicable legal framework.
- Manage tax assessments, litigation and audits.




- Review transfer pricing and related-party tax matters where applicable.

9. AUDIT MANAGEMENT Statutory Audit

- Lead interaction with Statutory Auditors.
- Ensure timely completion of quarterly and annual audits.
- Resolve audit qualifications, emphasis matters and control deficiencies. Internal Audit
- Strengthen risk-based internal audit.
- Monitor implementation of audit recommendations.
- Present significant findings and corrective actions to the Audit Committee.

10. LISTED COMPANY / POST
- IPO RESPONSIBILITIES Following listing, the CFO will transition the organisation from a private.
- company finance model to a fully institutionalised listed
- company environment. Key responsibilities include:
- Ensure timely quarterly and annual financial results.
- Support compliance with SEBI and Stock Exchange requirements.
- Ensure appropriate financial disclosures and announcements.
- Support Audit Committee and Board meetings.
- Prepare investor
- quality financial presentations.
- Establish an effective Investor Relations framework.
- Ensure compliance with disclosure requirements for material events.
- Support corporate governance and Board reporting requirements.

11. INVESTOR RELATIONS & CAPITAL MARKETS

- Develop the Company's financial narrative and investor communication strategy.
- Prepare quarterly investor presentations.
- Participate in investor/analyst meetings and conference calls.

12. QUALIFICATION & EXPERIENCE Essential

- Chartered Accountant (CA)– mandatory.
- 15 years of relevant experience, preferably in a large corporate/group environment.
- Strong experience in financial controllership and business finance.
- Strong knowledge of Ind AS and Companies Act.
- Experience in managing statutory and internal audits.
- Strong treasury, taxation and working-capital experience.
- Experience in ERP/SAP and finance transformation.

Highly Preferred

- Prior experience in Mainboard IPO / DRHP / RHP / listing process.
- Experience in a listed company.
- Experience in SEBI and Stock Exchange financial reporting.
- Experience working with Merchant Bankers and Big 4 / large audit firms.
- Experience in IPO due diligence.
- Experience in investor relations and capital markets.
- Experience in manufacturing / steel / metals / infrastructure sector.
