We are a growing consultancy firm operating in Real Estate domain; looking for an experienced, commercially oriented, and hands-on Legal Manager to manage and oversee legal function.
Legal Manager will be responsible for end-to-end support across real estate transactions, property documentation, contracts, regulatory matters, due diligence, disputes, and legal risk management.
The ideal candidate should have strong practical exposure to real estate law and documentation and should be comfortable working independently in a lean organization. The role will involve close coordination with management, clients, property owners, developers, consultants, advocates, government authorities, and other stakeholders.
The candidate should be able to identify legal risks, provide practical solutions, negotiate contractual terms, and ensure business transactions are legally sound and commercially workable.
Key Responsibilities
1. Real Estate Legal Due Diligence
- Conduct and coordinate legal due diligence of properties, projects, land parcels, and real estate assets.
- Prepare legal due diligence reports highlighting key risks, observations, and recommended actions.
- Assist management and clients in evaluating the legal feasibility of real estate transactions.
- Review and verify property title documents, ownership records, chain of title, conveyance documents, and supporting records.
- Examine title reports, search reports, encumbrance details, revenue records, mutation records, and other relevant property documents.
- Identify potential title defects, encumbrances, claims, disputes, restrictions, and other legal risks.
- Coordinate with advocates and consultants for detailed title searches and legal opinions as required.
1. Property Documentation & Agreements
- Draft, review, negotiate, and finalize real estate-related agreements and documents.
- Handle documents including, as applicable; Sale Agreements, ATS, Sale Deeds / Conveyance Deeds, License Agreements etc
- Ensure agreements appropriately protect the commercial and legal interests of the firm and its clients.
- Coordinate execution, stamping, notarization, registration, and related formalities wherever applicable.
1. Contract Management
- Review commercial contracts entered into with clients, developers, landowners, vendors, consultants, contractors, and other stakeholders.
- Identify commercially unfavorable or legally risky clauses.
- Negotiate key provisions including liability, indemnity, warranties, representations, termination, confidentiality, dispute resolution, payment obligations, force majeure, and limitation of liability.
- Maintain a centralized repository of contracts and legal documents.
- Monitor contractual obligations, renewal dates, termination periods, notices, and critical milestones.
- Develop standard templates and clauses to improve consistency and reduce legal exposure.
1. Real Estate Regulatory Compliance
- Monitor and advise management on applicable real estate laws, regulations, notifications, and regulatory developments.
- Ensure compliance with RERA, municipal laws, and other statutory regulations; and legal support relating to applicable RERA requirements and real estate regulatory matters.
- Review project-related documentation from a legal and regulatory perspective, where relevant.
- Coordinate with regulatory authorities and external legal professionals as required.
- Assist in ensuring that the firm's business activities and client engagements remain compliant with applicable laws.
- Track changes in relevant central, state, and local laws affecting real estate transactions.
- Conduct legal research and provide advice on property, contractual, and corporate legal matters.
1. Land & • Property Matters
- Review legal aspects relating to acquisition, sale, lease, development, and transfer of land and property.
- Examine land-use restrictions, development rights, easements, rights of way, access rights, zoning-related issues,
and other property-specific legal considerations.
- Coordinate with revenue, municipal, registration, development, and other relevant authorities through appropriate channels.
- Review documentation relating to land conversion, approvals, permissions, and development rights, where applicable.
- Identify potential legal issues affecting the marketability or development potential of a property.
1. Litigation & • Dispute Management
- Monitor ongoing and potential litigation, arbitration, consumer matters, property disputes, contractual disputes, and other legal proceedings involving the organization or its clients, where applicable.
- Coordinate with external advocates and law firms for litigation matters.
- Maintain a litigation tracker covering case status, next dates, legal exposure, and required actions.
- Assist management in evaluating legal notices, claims, disputes, and settlement opportunities.
- Review legal notices received by the company and coordinate appropriate responses.
- Support the preparation of documents, evidence, factual briefs, and instructions for external counsel.
- Escalate material legal risks and potential liabilities to senior management promptly.
1. Legal Notices & • Correspondence
- Draft, review, and respond to legal notices, demand notices, contractual notices, and other formal correspondence.
- Ensure that communications do not inadvertently create legal or contractual liabilities.
- Coordinate with external counsel where specialized legal advice is required.
- Maintain proper records of notices issued and received and track response deadlines.
1. Corporate & • Commercial Legal Support
- Provide legal support for the firm's day-to-day commercial activities.
- Review client engagement letters, consultancy agreements, business proposals, and commercial arrangements.
- Assist management in structuring transactions from a legal-risk perspective.
- Advise internal teams on contractual rights and obligations.
- Support the company in negotiations with clients, vendors, consultants, developers, property owners, and other business partners.
1. Risk Management
- Identify, assess, and communicate legal and contractual risks associated with business activities.
- Develop practical mitigation strategies for identified risks.
- Establish legal checklists for recurring real estate transactions.
- Ensure that material legal commitments receive appropriate review before execution.
- Maintain a risk register for significant transactions and disputes.
- Advise management on the legal implications of proposed business decisions.
1. Legal Documentation & • Record Management
- Maintain organized and confidential records of all notices, correspondences, opinion, legal records
- Establish a structured digital and/or physical filing system.
- Ensure easy retrieval of critical documents during transactions, audits, disputes, and client requirements.
- Maintain version control for important agreements and legal documents.
1. External Counsel & • Professional Coordination
- Identify and coordinate with advocates, law firms, lawyers, consultants, and other legal professionals.
- Prepare transparent factual and legal briefs for external counsel.
- Review legal opinions and advice received from external professionals.
- Monitor external legal assignments, timelines, deliverables, and professional fees.
- Ensure that external legal support is commercially justified and aligned with business requirements.
1. Internal Legal Advisory
- Act as the primary legal point of contact for internal teams.
- Provide practical and timely legal advice on business and operational matters.
- Conduct internal awareness sessions on important contractual and legal issues.
- Help business teams understand the legal implications of commitments
- Develop simple legal guidelines and checklists for non-legal employees.
Required Qualifications
- Bachelor's degree in Law (LL.B.) from a recognized institution.
- Additional qualification such as LL.M. will be an advantage.
- 8+ years of relevant legal experience, preferably with significant exposure to the real estate sector.
- Experience with a real estate developer, real estate consultancy, law firm, property advisory firm, or related organization will be preferred.
- Strong practical knowledge of real estate documentation and property due diligence.
- Good understanding of applicable real estate and commercial laws.
- Strong drafting and contract negotiation skills.

- Negotiate routine contractual provisions within approved commercial parameters.
