IT Contracts Manager - Offshore

Job Type: Full-Time

Work Mode: Work from Home (WFH) Offshore, India

Work Hours: 6:30 PM 3:30 AM IST

Position Overview

We are looking for an experienced IT Contracts Manager to join our team and support the end-to-end management of US IT contracts and commercial agreements for a global MNC with operations in the USA and India.

The ideal candidate will have 8+ years of experience in contract management within an IT, technology, professional services, or government contracting environment, with strong hands-on experience managing and negotiating US-based IT contracts.

The role requires a strong understanding of the complete contract lifecycle, including contract drafting, review, redlining, negotiation, execution, compliance, amendments, renewals, and closeout.

The successful candidate will work closely with Sales, Proposal Management, Operations, Finance, Project Management, Legal, customers, vendors, prime contractors, and subcontractors.

Key Responsibilities

- Draft, review, analyze, and redline a variety of US IT and commercial contracts, including:
- Non-Disclosure Agreements (NDAs)

- Teaming Agreements

- Subcontract Agreements

- Master Services Agreements (MSAs)

- Statements of Work (SOWs)

- Purchase/Subcontract Agreements
- Consulting and Professional Services Agreements

- Vendor and Reseller Agreements
- Amendments, Change Orders, and Contract Renewals
- Review and analyze RFx opportunities and solicitation documents, including RFI, RFP, RFQ, and related contractual documents, and work closely with Sales and Proposal Managers to identify contractual requirements, risks, exceptions, and obligations.
- Support the contract process from opportunity/proposal stage through negotiation, execution, administration, renewal, and closeout.
- Manage contractual relationships with US prime contractors, subcontractors, resellers, customers, vendors, and other business partners.
- Review contractual terms and conditions and identify commercial, operational, financial, legal, and compliance risks.
- Negotiate contract terms and conditions with customers, vendors, subcontractors, and business partners while protecting the company's commercial interests.
- Work directly with internal stakeholders, customers,



vendors, and external partners to resolve contractual issues and facilitate timely contract execution.
- Maintain strong working relationships with Sales, Business Development, Proposal Management, Project/Program Management, Finance, Operations, and Legal teams.
- Manage multiple contracts and priorities simultaneously in a fast-paced, deadline-driven, sales-oriented environment.
- Track and manage contract obligations, milestones, renewals, amendments, deliverables, and other contractual commitments.
- Support the development, maintenance, and continuous improvement of standard contract templates, clauses, processes, playbooks, and contract management procedures.
- Work closely with the Contract Director and Senior Vice President – Operations to improve contract processes, controls, and standardized documentation.
- Assist with contract-related audits, compliance requirements, and internal reporting as needed.
- Perform other contract management activities, special projects, and responsibilities as assigned.

Required Qualifications & Experience
- Bachelor's degree in Business, Finance, Legal Studies, Contract Management, or a related field.
- 8+ years of professional experience in contract management, preferably within an IT, technology, software, consulting, qualified services, or government contracting organization.
- Mandatory/strongly preferred: Hands-on experience managing and negotiating US IT contracts.
- Strong experience with the full contract lifecycle, including drafting, review, redlining, negotiation, execution, administration, amendments, renewals, and closeout.
- Experience working with different contract structures and pricing models, including:

- Firm Fixed Price (FFP)
- Time & Materials (T&M;)
- Cost Plus Fixed Fee (CPFF)
- Other commercial and professional services contracting models.
- Experience reviewing and negotiating contractual terms and conditions with commercial, corporate, and/or US government customers.
- Experience reviewing RFPs, RFQs, RFIs, solicitations, SOWs, and related procurement documents.




- Strong understanding of contractual risk identification, mitigation, and escalation.
- Excellent contract drafting, redlining, negotiation, analytical, and problem-solving skills.
- Strong written and verbal communication skills, with the ability to communicate effectively with US-based stakeholders.
- Ability to independently manage a high-volume contract pipeline while meeting multiple deadlines.
- Strong attention to detail and ability to interpret complex contractual language.
- Ability to work independently while collaborating effectively with cross-functional teams.
- Demonstrated ability to identify contractual risks and develop practical, business-oriented solutions.
- Willingness and ability to learn new contract requirements, processes, and areas outside of one's immediate area of expertise.

Preferred Qualifications
- Experience supporting US federal/state/local government contracts.
- Familiarity with US government contracting requirements, FAR/DFARS clauses, flow-down provisions, and government contracting practices.
- Experience working with prime contractors and subcontractors in the US IT services industry.
- Experience with contract management systems, CRM systems, ERP systems, or other contract repositories.
- Experience supporting IT staffing, software, cloud, managed services, consulting, or technology professional services contracts.
- Prior experience working with US-based clients/stakeholders in an offshore delivery environment.

Candidates with demonstrated experience in US IT contract management and negotiation will be given priority.
