Position Overview
We are seeking a seasoned, dynamic, and meticulous Senior Company Secretary (CS) with 8 to 15 years of post-qualification experience. The ideal candidate will act as the custodian of corporate governance, statutory compliance, and legal frameworks. Given the complex nature of the real estate and infrastructure sector, this role demands deep expertise in handling land-related corporate structures, project financing, joint ventures, litigation management, and end-to-end secretarial operations under the Companies Act, 2013.
Key Responsibilities
1. Board Governance & Secretarial Compliance
- Facilitate and manage end-to-end processes for Board meetings, Committee meetings (Audit, Nomination & Remuneration, Stakeholders Relationship), and General Meetings (AGM/EGM).
- Draft exact agendas, comprehensive board notes, minutes, and ensure proper execution of resolutions.
- Maintain statutory registers, books, and records as mandated by the Companies Act, 2013.
- File timely statutory returns, forms, and disclosures with the Registrar of Companies (ROC), MCA, and other regulatory bodies.
2. Real Estate Sector-Specific Legal & Corporate Support
- Coordinate closely with legal counsels on title due diligence, land acquisition documentation, conveyance deeds, and property joint venture (JV) agreements.
- Oversee corporate compliance related to project financing, structured debt, non-convertible debentures (NCDs), and mortgage charges creation/satisfaction with the ROC.
- Manage subsidiary companies,
special purpose vehicles (SPVs), and partnership firms typical of real estate holding structures.
3. Regulatory Liaison & Litigation Management
- Act as the primary point of contact and liaison with external regulators, government departments, statutory authorities, and legal advisors.
- Monitor and manage corporate litigation, consumer forum cases (RERA, NCLT, civil courts), tracking updates and assisting counsel with necessary documentation and board authorizations.
- Ensure stringent adherence to Real Estate Regulatory Authority (RERA) compliance requirements across various ongoing housing and commercial projects where applicable.
4. Corporate Governance & Advisory
- Advise the Board of Directors and senior management on corporate governance best practices, strategic risk mitigation, and compliance frameworks.
- Keep the leadership team updated on evolving amendments under Company Law, FEMA, Insolvency and Bankruptcy Code (IBC), and local land/stamp duty regulations.
Candidate Profile & Requirements
- Qualifications: Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI). A Bachelors degree in Law (LLB) is strongly preferred.
- Experience: 8 to 15 years of post-qualification corporate secretarial experience, preferably within the Real Estate, Infrastructure, or Construction sectors, or handling large unlisted/listed public companies.
- Technical Skills:
- In-depth command over the Companies Act, 2013, MCA-21 portal filings, FEMA guidelines, and stamp act implications.
- Sound understanding of RERA frameworks, property laws, and corporate financing documentation.
- Soft Skills: Exceptional drafting abilities, high professional discretion with confidential information, strong stakeholder management, and sharp problem-solving capabilities under pressure.
