Qualifications & Experience
- Company Secretary (ACS/FCS) from ICSI + CA (Chartered Accountant)
- 5 to 10 years of experience in secretarial and compliance roles.
- Prior experience in infrastructure, logistics, oil & gas, chemical, or industrial sector is highly preferred.
Position Overview IMC Limited, a leader in bulk liquid storage and terminal infrastructure, is seeking a qualified Company Secretary (CS) to oversee corporate governance, statutory compliance, and regulatory matters. The role is crucial in ensuring compliance with applicable laws governing the petroleum, chemicals, and liquid storage sector, while supporting the Board in strategic and regulatory decision-making.
Key Responsibilities
1. Corporate Governance & Regulatory Compliance
Ensure compliance with the Companies Act, 2013, and other applicable laws, including regulations relevant to oil, gas, chemicals, and liquid storage operations.
Monitor and ensure adherence to environmental, safety, and industry-specific regulatory frameworks in coordination with internal teams.
Advise management on corporate governance best practices and legal implications of business decisions.
2. Board & Committee Management
Organize Board Meetings, Audit Committee Meetings, and General Meetings.
Prepare and circulate agenda, board notes, minutes,
and resolutions.
Ensure proper documentation of strategic decisions relating to infrastructure expansion, terminal operations, and joint ventures.
3. Statutory Filings & Secretarial Records
Oversee timely filing of statutory returns with Registrar of Companies (ROC), MCA, and other authorities.
Maintain statutory registers, records, and corporate documentation.
Ensure compliance for subsidiary companies, joint ventures, and project SPVs (if applicable).
4. Liaison with Authorities & Stakeholders
Coordinate with regulatory authorities, port authorities, environmental bodies, and industry regulators.
Act as a key interface between the company and external auditors, legal advisors, and consultants.
Support compliance interactions related to licenses, permits, and infrastructure operations.
5. Project & Infrastructure Compliance Support
Assist in compliance for current terminal projects, land acquisitions, and infrastructure expansions.
Support legal and secretarial due diligence for joint ventures, contracts, and long-term storage agreements.
6. Secretarial Audit & Risk Management
Facilitate secretarial audits and internal compliance reviews.
Identify compliance risks related to industrial operations and ensure timely mitigation.
7. Advisory Role to Business
Provide guidance to leadership on risk, compliance, and regulatory matters specific to liquid storage industry.
Support in drafting policies, agreements, and governance frameworks aligned with operational risks.
