Job Description and Core Responsibilities
The role encompasses all aspects of Secretarial and Legal work, acting as a crucial Business Partner across various functions.
1. Company Secretarial & Compliance
- MCA & Filings: Expert in MCA-21 (online filing, inspection). Thorough knowledge of Secretarial Standards (ICSI).
- Compliance Management: Manage all corporate filings under the Companies Act, 2013, FEMA, Employee Welfare Acts, POSH, and other applicable laws.
- Statutory Audits: Conduct/assist with compliance certificates and Secretarial Audit.
- Director Matters: Timely filing of forms for appointment, resignation, KYC of Directors, and maintaining statutory registers.
- Annual Compliances: Preparation of Directors' Report and Annual Return, filing of Balance Sheet and P&L; Account in XBRL.
- Meetings: Drafting of Agenda, Notice, and Resolutions for Board, Committee, and Shareholders Meetings (including Special Notices). Convening and drafting Minutes of all statutory meetings.
- Documentation: Preparation of Search Reports, Due Diligence Reports, and maintaining all Statutory Registers and records (Attendance Registers, Minutes Book).
- Statutory Liaison: Preparation of responses to statutory notices and representing the company to various authorities (PF, Labour office, etc.).
2. Corporate Social Responsibility (CSR)
- Assist with CSR compliance in collaboration with the CSR team.
- Preparation of CSR budget, annual CSR report, and tracking fund utilisation.
3. Legal and M&A; Support
- Assist in Drafting various types of Agreements and Deeds.
- Support the M&A; team with Legal Due Diligence activities on a need basis.
4. Business Partnering & Operations Support
- Commercial Contracts: Advise Purchase & Sales/Commercial teams on legal clauses during contract framing to mitigate potential risks.
- Internal Agreements: Preparation of Intercompany Agreements.
- Finance & Treasury: Support with FEMA compliance during FDI, ECB, and Legal Entity Restructuring.
- Supply Chain: Provide support for Customs matters as needed.
- Industrial Operations:
- Work with Plant Managers for timely amendment & renewal of Factory Licenses, Consent from Pollution Control Board, and other relevant permits.
- Ensure timely updation of Occupier and Director changes with relevant authorities as per the Factories Act.
- Coordinate timely submission of applicable returns under the Factories Act, Pollution Control Act, Environmental statements, etc.
- Work with project teams to obtain new licenses/consents for new projects.
Key Qualifications
- Education: Qualified Company Secretary (CS), preferably with a Law Degree (LL.B.) from a reputed college/institute.
- CS Status: Completion of CS in the first attempt is preferred but not mandatory.
- Experience: 3-5 years of relevant qualified experience.
- Preference for experience in a Mid-Sized Manufacturing Industry with multiple Indian entities.
- MNC experience is an added advantage.
- Experience with a Company Secretarial practice firm that has advised manufacturing industries will also be considered.
- Location: Pune Office (Hybrid Option available).
