Role Overview:
The Director Corporate Finance will own two connected mandates: (1) Corporate Development fundraising, mergers & acquisitions, due diligence, and the preparation of investor-facing materials including pitch decks and information memoranda; and (2) FP&A; and Business Finance leading planning, forecasting, management reporting, and finance business partnering. The successful candidate will be the CFO's go-to person for any transaction, investor, or analysis-heavy assignment, and is expected to operate with a high degree of autonomy, discretion, and speed.
Key Responsibilities
Corporate Development Fundraising, M&A; & Investor Materials
- Fundraising: Lead end-to-end execution of equity and debt fundraising processes investor identification and outreach support, financial models, valuation analyses, term sheet evaluation, negotiation support, and closing mechanics.
- Investor materials: Build and maintain institutional-quality pitch decks, information memoranda (IM), teasers, and investor Q&A; packs; own the equity story and supporting data narrative in partnership with the CFO and leadership team.
- M&A;: Drive buy-side M&A; workstreams: target screening, preliminary evaluation, valuation and synergy modelling, deal structuring inputs, and post-deal integration support for finance workstreams.
- Due diligence: Manage due diligence end-to-end set up and run virtual data rooms, coordinate financial / tax / legal / commercial diligence with Big-4 and law firm advisors, track issue lists, and drive resolution to closure.
- Deal readiness: Maintain a state of continuous 'deal readiness': audited-to-management bridge, KPI definitions, cohort and retention analytics, and a refreshed data room so the company can move quickly when opportunities arise.
- Capital strategy: Support board and shareholder communications on capital strategy,
valuation benchmarks, market comparables, and capital allocation options.
FP&A; & Business Finance
- Planning & forecasting: Own the annual operating plan, rolling forecasts, and long-range plan; drive target-setting with business unit leaders and track performance against plan.
- Management reporting: Deliver crisp monthly MIS and board reporting — revenue, bookings, pipeline conversion, margins, cash flow, and other ket metrics (ARR, NRR, renewals) — with insight, not just data.
- Business partnering: Act as finance business partner to business heads: pricing decisions, client and product profitability, unit economics, cost optimisation, and investment cases for new initiatives.
- Process & systems: Strengthen budgeting discipline, drive automation of reporting and planning processes, and continuously improve the quality of financial data and analytics infrastructure.
- Team leadership: Build, mentor, and lead a small high-calibre team of analysts/managers supporting both FP&A; and transaction workstreams.
Data, Dashboards & Analytics
- Big data management: Own and manage large, multi-source financial and business datasets (billing, CRM, pipeline, delivery, HR-cost data); establish a single source of truth for revenue and cost analytics used across the Office of the CFO.
- Dashboarding: Design and build self-serve dashboards and automated reports in Power BI (and Tableau or similar visualization tools) covering revenue, bookings, margins, cash,
and operating KPIs — replacing manual spreadsheet-based MIS over time.
- SQL & coding: Use SQL and basic scripting (Python or similar) to extract, clean, transform, and reconcile data from ERP, CRM, and platform systems; automate recurring analyses and diligence data pulls.
- Data governance: Define KPI logic, data models, and refresh processes so that board reporting, investor materials, and diligence outputs are generated from consistent, auditable data.
Candidate Profile
- Chartered Accountant (CA) or CFA or MBA in Finance from a top-tier institution.
- 12+ years of relevant experience with a meaningful portion in investment banking, private equity, transaction advisory (Big-4 TAS/deal advisory), or corporate development — combined with hands-on FP&A; or business finance exposure in an operating company.
- Demonstrated end-to-end deal experience: at least one completed fundraise, M&A; transaction, or comparable strategic transaction where the candidate owned the model, materials, and diligence process.
- Expert-level financial modelling and valuation skills (DCF, comparable companies, precedent transactions); advanced Excel and PowerPoint.
- Robust hands-on data and analytics toolkit: proven experience managing big datasets; proficiency in Power BI and SQL, working knowledge of Tableau or similar visualization tools, and basic coding/scripting (Python, DAX, or similar) to build dashboards and automate reporting.
- Exceptional written and verbal communication — able to produce investor-grade documents and present confidently to promoters, boards, bankers, and investors.
- High ownership, discretion with confidential information, and the ability to run multiple demanding workstreams in parallel under tight timelines.
