Job Summary:
We are looking for an experienced DGM Strategic Growth, Corporate Finance & Capital Markets to lead strategic growth initiatives, corporate finance, M&A;, capital raising, investor relations and capital allocation.
The ideal candidate should have strong experience in Corporate Finance, Investment Banking, Equity Research, Capital Markets, Investor Relations, M&A; or Corporate Strategy, preferably with listed manufacturing, chemical, ethanol, renewable energy, infrastructure or related businesses.
The candidate will be responsible for driving enterprise value creation, strategic business expansion, fundraising, M&A; transactions, institutional investor engagement and long-term shareholder value.
Key Responsibilities:
- Lead strategic growth and enterprise value creation initiatives.
- Develop strategies to improve the Company's market capitalization and enterprise value.
- Identify and evaluate organic and inorganic growth opportunities.
- Develop strategic growth plans and identify new business opportunities.
- Lead M&A; strategy, acquisition pipeline development and transaction execution.
- Evaluate brownfield and greenfield investment opportunities.
- Coordinate financial, commercial, legal, technical, tax, environmental and operational due diligence.
- Prepare financial models covering valuation, IRR, ROCE, EBITDA impact, EPS accretion/dilution and payback.
- Lead capital-raising initiatives including QIPs, preferential allotments, rights issues and private placements.
- Manage relationships with institutional investors, mutual funds, AIFs, DIIs, FPIs,
HNIs and equity research analysts.
- Develop and execute investor coverage and investor engagement strategies.
- Lead quarterly earnings communication, investor presentations, earnings calls and analyst/investor meetings.
- Coordinate with merchant bankers, legal advisors, auditors, Company Secretary, stock exchanges and regulatory advisors.
- Develop and implement an effective capital allocation framework.
- Evaluate expansion capex, acquisitions, working capital, debt repayment and strategic investments.
- Optimize the Company's capital structure through appropriate equity, debt and internal accruals.
- Evaluate refinancing, debt restructuring and cost-of-capital optimization opportunities.
- Explore green financing, sustainability-linked financing, green bonds and eligible government incentives.
- Prepare strategic business plans, long-range financial models and 3-year/5-year growth plans.
- Prepare Board and senior management presentations on growth strategy, M&A;, capital allocation, valuation and investor sentiment.
- Monitor strategic KPIs and recommend corrective actions.
- Support ESG and sustainable business positioning from an investor and value-creation perspective.
- Ensure all capital-market and strategic transactions comply with applicable regulations and governance requirements.
Required Skills & Qualifications:
- 12 to 18 years of relevant experience in Corporate Finance, Investment Banking, Equity Research, Capital Markets, Investor Relations, M&A; or Corporate Strategy.
- CA / MBA (Finance) from a premier institute / CFA holder.
- Experience with listed manufacturing, chemical, ethanol, renewable energy,
infrastructure or related businesses will be highly preferred.
- Proven experience in QIPs, preferential allotments, rights issues or other capital-raising transactions.
- Strong experience in institutional investor relations and investor engagement.
- Experience handling earnings calls, investor presentations and sell-side analyst coverage.
- Solid M&A; transaction and business valuation experience.
- Excellent financial modelling and investment analysis skills.
- Strong understanding of capital structure and capital allocation.
- Strong commercial and strategic business acumen.
- Excellent negotiation and stakeholder management skills.
- Strong executive presence and Board-level communication skills.
- Ability to work with senior management, investors, investment bankers and business/operations teams.
- Strong leadership and team management capabilities.
Preferred Profile:
- Chartered Accountant (CA)
- MBA Finance from a premier institution
- CFA
- Experience in listed companies / continuous manufacturing / chemical / ethanol / renewable energy sectors.
- Combination of CA + MBA/CFA will be advantageous.
