Purpose/Objective

Legal Lead is overseeing all legal aspects of the division's operations, providing strategic legal advice, managing litigation and arbitration, ensuring compliance with regulations, and mitigating legal risks.

facilitating legal and compliance processes by drafting and managing contracts, advising on project and business legal matters, and collaborating with stakeholders to safeguard company interests and maintain legal integrity.

Key Responsibilities of Role

1. Tender, Contract Management and Legal Support: - Provide comprehensive legal support during the tendering process, identification of legal/business risk and suggesting risk mitigation strategies thereof, ensuring compliance with all relevant laws and regulations.
- Oversee the drafting (vetting), review, and negotiation of contracts, ensuring all agreements are legally enforceable and align with Adani’s business priorities.
- Guide contracts department in contract management, resolving Legal/contractual issues that may arise during the contract lifecycle.

1. Litigation, Dispute Resolution and Claim Settlement: - Manage pre-litigation dispute resolution steps. Within endeavor to achieve amicable settlement wherever possible.
- Represent the company (Adani Entity) in arbitration and other litigation proceedings, developing strategies to protect Adani Group’s interests - Screening shortlisting and finalizing appropriate external Legal counsel keeping in mind Adani Group’s interests, timeliness and cost-effectiveness. Coordinating with external Legal counsel and in consultation with the Management, giving appropriate instructions to external Legal counsel from time to time.

1. Project Legal Support and Business Advisory:

- Provide legal advice and support on various project-related issues, including for Project finance, refinancing, vendor and subcontractor management.





- Review and advise on project documentation to ensure legal sufficiency and compliance.
- Offer strategic legal counsel on business initiatives, mergers, acquisitions, and other corporate actions.
- Identify potential legal risks and develop strategies to mitigate them.
- Stay updated on changes in legislation and regulations that may impact the company’s operations.

1. Regulatory Compliance and Risk Management:

- Support the Management in ensuring compliance with local, state, and national Laws. 5.

Strategic Business Advisory: - Act as a trusted advisor to senior management, providing legal insights that influence key business decisions.

- Offer strategic legal counsel on business initiatives, mergers, acquisitions, and other corporate actions.
- Influence management decisions by providing timely and relevant legal advice.
- Develop and implement legal policies and procedures to ensure organizational compliance and mitigate legal risks.

1. Stakeholder Management, Team Development and Legal Liaisoning: - Manage relationships with government stakeholders, ensuring compliance with regulatory requirements and advocating for the company's interests.
- Develop and execute a talent management plan for the legal department, ensuring alignment with organizational growth trajectories.
- Serve as the primary legal liaison with regulatory bodies, managing communications and ensuring compliance.

Qualifications and Experience

Education Qualification: Bachelor's Degree in Law (LLB) and MBA Work Experience (Range of years): 15+ years of relevant experience
