Engagement: Long-term Legal Retainer

Neuralbits Technologies is one of India’s leading HealthTech companies, building PRESCO, a comprehensive Hospital Operating System trusted by 900+ hospitals across the country. Our platform powers hospitals with AI-enabled EMR, HMIS, Pharmacy, Laboratory, Radiology, Billing, HRMS, ERP and 40+ integrated modules.

We’re looking to engage an experienced corporate lawyer or law firm on a long-term retainer to support the company across commercial contracts, corporate matters, employment issues, intellectual property and legal disputes.

Scope of Engagement The legal counsel / firm will support us across a wide range of ongoing matters, including:

- Drafting, reviewing and negotiating customer agreements, subscription agreements, SaaS agreements, licensing agreements and service contracts
- Customising agreements based on specific hospital/client requirements
- Reviewing and negotiating vendor agreements, technology agreements, NDAs, MOUs, partnership and commercial agreements
- Drafting and responding to legal notices
- Handling vendor disputes, payment disputes and contractual issues
- Advising on employee-related matters, employment agreements, confidentiality, IP assignment, non-solicitation and separation issues
- Drafting policies and agreements for employees, consultants and contractors
- Handling copyright infringement and software copying matters
- Trademark protection, opposition, infringement and enforcement
- Coordination and advisory relating to patents and other intellectual property
- Sending cease-and-desist notices and managing IP enforcement matters
- Reviewing marketing claims, product terms,



website terms and legal disclosures
- Advising on data protection, privacy and technology-related contractual matters
- Supporting corporate documentation and routine legal compliance
- Advising management on contractual and legal risk before entering major transactions
- Representing or coordinating with litigation counsel when required

Our Requirement

We are not looking for occasional document drafting.

We need a responsive long-term legal partner who can understand our business, products and commercial model and become an extension of our management team for day-to-day legal requirements.

The counsel should be comfortable handling matters ranging from a simple NDA or customer agreement to employee disputes, vendor issues, copyright violations and complex commercial negotiations.

Preferred Engagement Model

We are looking for a monthly retainer arrangement covering routine legal advisory, contract review and drafting, with separate professional fees for major litigation, IP filings or highly specialised matters where required.
