Job Summary
Udit Group of Companies Limited (UGCL) is looking for an experienced and detail-oriented Company Secretary & Legal Manager with a professional qualification in Company Secretarial practice and LLB and relevant experience in the construction/infrastructure industry.
The selected candidate will be responsible for managing the company's corporate secretarial functions, statutory and regulatory compliance, legal documentation, contracts, agreements, corporate governance, Board and shareholder matters, legal coordination and compliance-related activities.
The candidate should have practical experience working with senior management and handling corporate, legal and secretarial matters independently. Experience in construction, infrastructure, EPC or project-based organizations will be preferred.
Key Responsibilities1. Company Secretarial Functions
- Manage day-to-day company secretarial and statutory compliance activities.
- Maintain statutory registers, records and corporate documents.
- Ensure timely compliance with applicable provisions of the Companies Act and other applicable regulations.
- Prepare and maintain notices, agendas and minutes for Board Meetings and General Meetings.
- Coordinate with Directors, senior management and other stakeholders for Board and shareholder matters.
- Prepare necessary resolutions, notices, minutes and supporting documents.
- Maintain proper records of Board resolutions and corporate decisions.
- Coordinate statutory filings and regulatory submissions within prescribed timelines.
- Maintain accurate and up-to-date secretarial records.
2. Corporate Governance & Compliance
- Ensure compliance with applicable corporate laws, rules and regulations.
- Advise management on routine corporate and secretarial compliance matters.
- Monitor statutory compliance calendars and ensure timely completion of requirements.
- Coordinate with statutory auditors, legal advisors, consultants and other professional advisors.
- Assist management in maintaining appropriate corporate governance practices.
- Identify potential compliance gaps and coordinate corrective actions.
3. Legal Documentation & Contract Management
- Draft, review and coordinate legal agreements and business contracts.
- Review agreements with contractors, vendors, consultants, suppliers and other business partners.
- Handle MoUs, service agreements, consultancy agreements, vendor agreements and other commercial documentation.
- Identify key legal and contractual risks and highlight them to management.
- Maintain proper records of executed agreements and legal documents.
- Coordinate with external advocates and legal consultants wherever specialized legal advice is required.
- Support management in contract negotiations and documentation.
4. Construction & Infrastructure Legal Matters
- Handle legal and documentation requirements related to construction and infrastructure projects.
- Review project-related contracts, work orders, subcontractor agreements and vendor agreements.
- Coordinate legal documentation relating to project execution.
- Support project teams in resolving contractual and documentation-related issues.
- Coordinate with external legal professionals regarding disputes, notices and claims.
- Maintain records of project-related legal correspondence and documentation.
- Assist management in monitoring contractual obligations and compliance.
5. Statutory & Regulatory Compliance
- Maintain a comprehensive compliance calendar for the organization.
- Monitor applicable statutory and regulatory requirements.
- Coordinate with internal departments for timely submission of required information and documents.
- Maintain evidence and records of statutory compliance.
- Assist in regulatory inspections, audits and related documentation.
- Keep management informed about important changes in applicable corporate/legal requirements.
6. Board & General Meetings
- Coordinate Board Meetings, General Meetings and other statutory meetings.
- Prepare meeting notices, agendas and supporting documents.
- Draft and maintain minutes of meetings.
- Prepare Board resolutions and other required corporate documents.
- Maintain records of attendance, resolutions and meeting documentation.
- Coordinate with Directors and management for required approvals.
7. ROC & MCA Compliance
- Handle and coordinate applicable filings with the Ministry of Corporate Affairs (MCA) and Registrar of Companies (ROC).
- Ensure statutory forms and returns are prepared and filed within applicable timelines.
- Maintain records of MCA/ROC filings and acknowledgements.
- Monitor changes in company structure, directors, shareholding and other corporate information requiring statutory action.
- Coordinate with professional advisors for complex filings and regulatory matters.
8. Legal Notices & Dispute Coordination
- Review and coordinate responses to legal notices received by the company.
- Maintain records of ongoing and closed legal matters.
- Coordinate with external advocates and legal consultants.
- Assist management in preparing documentation related to disputes, claims and contractual matters.
- Track important legal deadlines and proceedings.
- Ensure proper documentation and communication relating to legal matters.
9. Corporate Records & Documentation
- Maintain confidential corporate records and legal documents.
- Organize agreements, certificates, statutory registers, resolutions and other important documents.
- Ensure proper document control and version management.
- Maintain digital and physical legal/secretarial records.
- Ensure confidential company information is handled appropriately.
10. Management Support
- Provide secretarial and legal support to the Board of Directors and senior management.
- Prepare reports and compliance updates for management review.
- Provide practical guidance on corporate documentation and routine legal matters.
- Coordinate with Finance, HR, Projects, Procurement and Administration departments on legal and compliance requirements.
- Support management in corporate restructuring, business transactions and other strategic initiatives as required.
Required QualificationsEssential
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- LLB / Bachelor of Laws degree.
- Minimum 5 years of relevant professional experience.
- Strong practical knowledge of corporate secretarial and legal documentation.
- Relevant experience in the construction, infrastructure, EPC or real estate industry is preferred.
Preferred
- Experience working directly with senior management/Board of Directors.
- Experience handling construction or infrastructure contracts.
- Knowledge of project-related legal documentation.
- Experience coordinating with external legal counsel, auditors and consultants.

Candidate Profile The ideal candidate should be a professionally qualified Company Secretary with an LLB degree and practical experience in corporate secretarial, legal and compliance functions.
The candidate should have the ability to work independently, communicate effectively with senior management, coordinate with legal professionals and manage multiple compliance and contractual requirements.
Experience in a construction/infrastructure/EPC environment will be highly relevant because the role will involve project-related contracts, contractor documentation, commercial agreements, legal coordination and corporate compliance.
