Key Responsibilities1. Contract Drafting and Management
• Draft, review and negotiate commercial agreements, including distributor agreements, supplier contracts, vendor agreements, service agreements, consultancy agreements and partnership agreements.
• Prepare and manage NDAs, confidentiality agreements, non-circumvention clauses and other documents protecting the company's confidential information and business interests.




• Review international distribution agreements covering territory, exclusivity, pricing, minimum purchase obligations, payment terms, termination and dispute resolution.
• Draft MOUs, letters of intent, declarations, undertakings and other business documents.
• Identify contractual risks and recommend suitable safeguards.
• Maintain a central repository of signed agreements, renewal dates, termination clauses and contractual obligations.

2. International Commercial and Export Legal Support
• Review contracts with overseas distributors, importers, agents and business partners.
• Assist with territory exclusivity, intellectual property protection, product liability, indemnities and payment security.
• Review governing law, jurisdiction and arbitration clauses in international agreements.
• Coordinate with local legal advisers in foreign markets whenever specialist advice is required.
