About Naandi VenturesNaandi Ventures is an early-stage investment platform backing companies across deep tech, AI, aerospace, space, defence and enterprise technology.

As we scale our investment platform and progress toward establishing a Category I AIF, we are looking for a Manager – Legal, Compliance & AIF Operations to own investor documentation, investment documentation, regulatory compliance and fund operations.

Key Responsibilities• Support the setup and ongoing compliance of Naandi’s Category I AIF.

- Manage SEBI/AIF compliance calendars, regulatory filings, reporting and documentation.
- Coordinate with legal counsel, trustees, fund administrators, CAs, CS firms, auditors and other advisors.
- Manage investor onboarding, KYC/AML, Contribution Agreements, allocation letters, confirmations, side letters and investor records.
- Manage investment documentation including term sheets, SSA, SHA, SPA, board/shareholder approvals and closing documents.
- Maintain and coordinate documentation for SPVs, LLPs and other investment vehicles.
- Support FEMA/RBI and cross-border investment documentation for NRI and international investors.
- Maintain complete and audit-ready records across investors, portfolio companies and investment vehicles.
- Build SOPs, checklists, compliance trackers and scalable documentation workflows.




- Track portfolio-company reporting, governance and contractual obligations.

What We’re Looking For• 4–7 years of experience in an AIF, venture capital fund, private equity fund, law firm, fund administrator or investment-management firm.

- Direct experience with Category I or Category II AIFs is strongly preferred.
- Qualification in CS, LLB, CA or a related field.
- Working knowledge of:
- SEBI AIF regulations
- Companies Act and LLP Act
- FEMA / RBI regulations
- KYC / AML / PMLA
- Fund and investment documentation
- VC / PE transactions
- Robust attention to detail, ownership and ability to manage multiple transactions simultaneously.
- Comfortable working directly with investors, founders and external advisors.
