Job Description: Staffing Industry Attorney – Commercial Contracts

## About the Role

We are seeking an experienced attorney to support a US-based client in reviewing, revising, and advising on client staffing agreements and related commercial contracts. The successful candidate will help ensure that contractual terms appropriately protect the client’s commercial interests, allocate risk effectively, and address key legal and operational considerations associated with staffing and workforce solutions.

The ideal candidate will have experience with staffing, recruiting, workforce solutions, or employment-related contracts, along with a strong understanding of commercial contract drafting, negotiation, and risk assessment.

## Key Responsibilities

- **Contract Review and Drafting:** Review, revise, and advise on client staffing agreements and related commercial contracts to ensure clarity, enforceability, and appropriate allocation of contractual obligations and risks.
- **Risk Assessment and Mitigation:** Identify, evaluate, and recommend revisions to contractual provisions relating to liability, indemnification, insurance, payment terms, worker classification, confidentiality, and termination.
- **Commercial Contract Advisory:** Provide practical legal guidance on contractual risks, obligations, and potential areas of exposure arising from staffing and workforce arrangements.
- **Contractual Protections:** Assess whether agreements contain appropriate protections for the client’s commercial interests, including suitable allocation of liability and clearly defined responsibilities between contracting parties.




- **Negotiation Support:** Recommend revisions to contract language and support the resolution of contractual issues to facilitate commercially sound agreements.
- **Legal and Commercial Alignment:** Work to ensure that contractual terms reflect the client’s business requirements while appropriately addressing relevant legal and compliance considerations.

## Required Qualifications and Experience

- A law degree (J.D. or equivalent legal qualification).
- Demonstrable experience reviewing, drafting, and revising commercial contracts and client service agreements.
- Strong understanding of contractual risk allocation, including liability, indemnification, insurance, payment obligations, confidentiality, and termination provisions.
- Ability to identify contractual gaps, assess potential exposure, and recommend clear, practical revisions.
- Solid legal research, drafting, analytical, and communication skills.
- Attention to detail and the ability to translate complex legal issues into commercially practical recommendations.

## Preferred Experience

- Experience with staffing, recruiting, workforce solutions, or employment-related agreements.
- Familiarity with contractual issues involving staffing arrangements and worker classification.
- Experience reviewing and negotiating agreements governed by US law.
- Experience advising businesses on commercial contract risks and contractual protections.

## Expected Outcome

Pay: Up to ₹30,000.00 per month
