KEY RESPONSIBILITIES

Transaction Advisory & Deal Structuring i. Lead legal workstreams across the deal lifecycle for mergers, acquisitions, divestitures, joint ventures, and strategic investments, including structuring advice from term sheet through signing and closing.

ii. Draft and negotiate transaction documents, including share purchase agreements, shareholders agreements, business transfer agreements, and related ancillary and definitive documents.

iii. Collaborate with corporate development, finance, and tax teams to design deal structures that align with commercial objectives and appropriate risk allocation.

Due Diligence & Risk Management i. Lead and coordinate legal due diligence on target entities, identifying material legal risks, liabilities, and deal issues, and translating findings into actionable recommendations and risk-mitigation steps.

ii. Manage external counsel and advisors across jurisdictions, including instruction, coordination, and review of due diligence and transaction deliverables.

Regulatory & Compliance Oversight i. Advise on regulatory approvals and conditions applicable to transactions, including competition/antitrust, FEMA/foreign investment, securities, and relevant sectoral regulations.

ii. Liaise with regulatory authorities and advisors to secure clearances and ensure transactions comply with applicable Indian and GCC/UAE legal requirements.





Leadership & Stakeholder Management i. Serve as a legal business partner to deal teams and business leadership, advising on the legal implications of strategic transactions, restructuring, and investments.

ii. Advise internal stakeholders on emerging legal and regulatory developments relevant to M&A; and their impact on live and prospective deals.

iii. Contribute to playbooks, templates, and governance frameworks that improve the efficiency and consistency of transaction execution.

Group Legal Integration i. Work closely with Essar Group Counsel to align transaction structures with entity-level legal frameworks and contribute to group-wide M&A;, restructuring, and reorganisation initiatives.

ii. Contribute to drafting and implementing group policies on transaction risk (e.g., representations and warranties, indemnities, and post-closing integration frameworks).
