Purpose/Objective

(a) Procative busienss partnering to the mining divisions for existing projects and advising on new projection including advise on RPF, commercial bids and related matters.

(b) To manage high stake dispute resolutions - both Court cases till SC and Arbitrations.

(c) Transaction support - Commercial Contracts, JV, consortium agreements, loan & financing documents with related due diligence.

(d) Manage risk on broad range of complex issues relating to mining business and trading operations and advising on the mitigation plane.

(e) Support growth while implementing governance framework to ensure stake holders value creation.

Key Responsibilities of Role

Strategic Roles & Responsibilities Litigation Dispute Management A.

Devising the strategy for high stake Arbitration and Litigation cases on PAN India basis.

B.

Preparation of pleadings like claims, counter claims, petitions, applications, written statements/replies, and Notes of arguments, can do legal research and precedents, C.

Carrying out pre litigation due diligence to ascertain exposure on financial, reputational , personal liability and importantly business continuity.

D.

Have knowledge of court proceedings including environmental laws, la laws, contracts, arbitration etc.

E.

Coordination with advocates transaction & Contract Management A.

In depth understanding of Commercial Contracts for insulating the commercial Risks B.

Structuring of the deals , JV , consortium Agreements with business partners.

C.

Carrying out due diligence of Bid documents & RFP's to ascertain risk exposures & advising on deviation and/or exposures matrix & mitigation strategies.

D.

Have knowledge of Financial & tax laws relating to transactions to support financial documentations.

E.

Coordination with law firms and advise on drafting .

F.

Meeting and interacting with businesses, understanding of issues and facts.

G.

Making strategy internally with Legal HOD and Business teams.





Implementation of Systems & Process to ensure governance & compliance.

Understanding Mining Laws and other applicable laws such as Employment, Setting , tax laws etc.

Advising on legal compliances in operations.

- Proficiency in legal research and analysis.

Technical Competencies

Arbitration proceedings / Litigation,Court Practice,Experience in Environmental/Labor/Company laws/ Mining Laws,Experience in Mining/Construction/Infrastructure contracts,Handling court cases in Supreme Court/High Court

Qualifications and Experience

Education Qualification - LLB/LLM from a recognized institution.

- Additional qualifications in corporate or commercial law will be an advantage.

Experience - Minimum of 20 years of experience in the legal field, with a focus on the coal mining industry.

- Demonstrated experience in managing legal matters within a large and complex organization.
- Proven track record of leadership and strategic decision-making within a legal function.
