Essential Areas of Responsibility

Compliance related to holding of Board, Committee and Shareholders Meetings

Co-ordinating with all the concerned executives, Preparing Agenda, Minutes of the Board, Committee and Shareholders Meetings.

Compliance under the Indian Companies Act

Filing of various returns with the Registrar of Companies, Central Government as may be required from time to time. Comply with all the procedural compliance required for implementing various decisions of the Board & shareholders e.g. change in registered office, Buy back of shares, appointment of Directors, Managing Directors etc.

Group Level Assignments

Conduction Legal Audit of the legal units of as may be assigned by Head Group Legal. Handling Group Legal cases in India. Vetting and drafting of various commercial agreements at Group Level as may be assigned from time to time. Preparing questionnaire on CoCo Test. Responsible for Insurance matters relating to the polices which are handled at Group Level.

Vetting and drafting of various agreements

Drafting and vetting of various agreements like NDA, Co-operation, Tool Loan, Supplier Agreements, Technology development agreement, Leave and license , Undertakings, Bonds, General

Terms and Conditions of sales or delivery. Canteen, Transport, Bank Guarantee. Legal Notice, show causes notice, Warning Letters.

Liasoning with Government Departments/Officials

Updating land records of Company's properties with revenue authorities i.e. Talathi, Tahsildar, SDO, District Collector etc.

Liasoning with various revenue authorities for compliance related to the Company under Maharashtra Land Revenue Act, Bombay Tenancy and Agricultural Land Act .

Obtaining approval of the revised factory layout and machinery layout plans from the Factory Inspector under Factories Act.





Liasoning with Town Planning, Collectors Office and various other government officials for obtaining the necessary approvals required for expansion projects of the Company.

Representing the Company in various legal Cases

Representing the Company in all legal cases mainly pertaining to customs, criminal and civil matters, labour cases.

Interacting with law firms, senior lawyers for obtaining legal opinions, briefing of facts relating to any legal cases, provide support for drafting written statements, counter replies, providing documentary evidence in support of legal case. Handling out of court settlement cases. Advising the management in selecting the right lawyer to represent a specific legal case on behlaf of the Company.

Advisory role on legal issues

SAssist in amicable solution of legal issues instead of escalating the matter to the court of law. Assist in drafting letters, emails of an issue having the potential of legal case.

Land Matters

Complying with the legal formalities for purchase and sale of land on behalf of the company which include due diligence, Agreement for sale/MOU, checking of land revenue records like Pherphar, 7 1/2/ extracts, Pherphar etc. co-ordinating with the lawyers, purchasers/sellers. Preparation and execution of sale deed etc.

Claims & Litigation:

Managing outofcourt claims, coordinating with external counsel and monitoring court proceedings.

Compliance:

Advising and supporting the group on key compliance topics such as antibribery, fraud prevention, antitrust, businesspartner due diligence, conflicts of interest, and ESG requirements.

Corporate Law:

Handling local corporate law matters and providing practical legal guidance to internal stakeholders.

Desired Qualification : LL.B and Company Secretary

Desired Experience in Years : 15 years to 20 years

Preferred hands on experience : Word, Excel, Power Point
