Role Description: Company Secretary (Commercial Vehicles SBU — Finance & Legal)
Based at our Jamshedpur plant, this position reports directly to the Legal Specialist (Mexico) and indirectly to the Plant Finance Business Partner. It is a key governance and compliance role with strong cross-border exposure to our central legal team. Core responsibilities include:
- Ensuring corporate and legal compliance under the Companies Act—maintaining statutory registers, the compliance register, and all ROC filings and returns
- Coordinating and conducting Board, AGM, EGM, and other statutory meetings, and drafting high-quality minutes and resolutions
- Coordinating legal activity and correspondence with the central legal team and external consultants
- Supporting compliance under the Factories Act, labor laws,
and other applicable statutes
- Supporting Metalsa Legal in the drafting and review of commercial contracts
Qualifications
- A qualified Company Secretary (ICSI); a law degree (LLB) is essential.
- Thorough knowledge of ROC/MCA compliances, the Companies Act, the Factories Act, and the labor law framework
- Proficiency in drafting and reviewing official documents, board minutes, resolutions, and statutory filings with high attention to detail and accuracy.
- Effective communication and interpersonal skills to collaborate with board members, senior leaders, regulators, auditors, and internal stakeholders.
- Organizational and time-management skills to plan meetings, manage multiple compliance deadlines, and maintain structured records and documentation.
- Analytical and problem-solving abilities to identify compliance risks, recommend mitigation measures, and support informed decision-making.
- Comfort with using digital tools and office software for documentation, data management, and reporting; experience with governance or entity-management systems is an advantage.
- Prior experience in a manufacturing or industrial workplace is preferred, along with familiarity with cross-border or multinational corporate structures.
- Comfort operating in a global MNC environment; Big 4 and internal/external audit exposure is an advantage
