NRole Overview
nWe are looking for an experienced and dynamic Company Secretary & Compliance Officer to lead the organization's corporate governance, secretarial compliance, fundraising compliance, ESOP management, and IPO/listing readiness initiatives.
NThe incumbent will play acritical role in supporting the organization's strategic fundraising, governance framework, investor relations compliance, and transition towards a listed company structure. The role requires extensive interaction with the Board of Directors, investors, auditors, legal advisors, merchant bankers, consultants, and regulatory authorities.
NKey Responsibilities
nCorporate Secretarial & Governance
N
n
- Ensure compliancewith the Companies Act, 2013, Secretarial Standards, and other applicable corporate laws and regulations.
N
- Manage all statutory filings, secretarial records, registers, resolutions, disclosures, and governance documentation for the organization and group entities.
N
- Organize and manage Board Meetings, Committee Meetings, AGM, and EGM.
N
- Draft agendas, notices,board resolutions, meeting minutes, and governance documentation.
N
- Advise the Board and senior leadership on corporate governance, compliance matters,
and regulatory developments.
N
- Strengthen governance frameworks, internal controls, and compliance monitoring systems across the organization.
N
nIPO & Listing Readiness
N
n
- Support end-to-end IPO preparedness and listing-related secretarial activities.
N
- Ensure compliance with SEBI regulations, listing obligations, and disclosure requirements.
N
- Coordinate with merchant bankers, legal counsels, auditors, registrars, consultants, and regulatory authorities during IPO and due diligence processes.
N
- Support drafting and review of offer documents, approvals, disclosures, and restructuring documentation.
N
- Assist in implementation of governance practices aligned with listed-company standards.
N
nFund Raising, Capital Transactions & ESOP Management
N● Handle secretarial and regulatory compliances related to:
N○ Private Placement
n○ Rights Issue
N○ Preferential Allotment
N○ Fundraising Transactions
N○ Capital Restructuring
N○ Employee Stock Option Plans (ESOPs)

- Manage issuance and allotment of shares, PAS filings, shareholder approvals, and related statutory documentation.
N
- Oversee ESOP structuring, grant administration, vesting compliance, employee allotments, disclosures, and regulatory filings.
N
- Coordinate with investors, legal teams, financial advisors, consultants, merchant bankers, and valuation agencies for fundraising and equity-related transactions.
N
- Support cap table management, shareholder records, and investor compliance requirements.
N
- Ensure compliance with applicable provisions under Companies Act, SEBI regulations, FEMA guidelines,
and other regulatory frameworks relating to securities and employee stock options.

nRegulatory & LegalCompliance

- Liaise with ROC, SEBI, RBI, Stock Exchanges, and other statutory authorities.
N
- Monitor amendments in corporate and securities laws and ensure timely implementation across the organization.
N
- Support compliance review of agreements, policies, and strategic business transactions.
N
- Ensure compliance across subsidiary and group entities.
N
nStakeholder Management
N

- Collaborate closely with leadership, finance, legal, audit, HR, and investor stakeholders.
N
- Support due diligence activities during fundraising, restructuring, and strategic transactions.
N
- Maintain high standardsof confidentiality, integrity, and skilled governance.

nDesired Candidate Profile

- Qualified CompanySecretary (ICSI) with 10–15 years of relevant experience.
N
- Prior experience in listed companies or organizations preparing for IPO preferred.
