Job Summary
We are looking for a Qualified Company Secretary (CS) with strong knowledge of corporate compliance, governance, and legal matters. The ideal candidate will handle statutory compliances, Board and shareholder matters, contracts, regulatory requirements, and corporate legal activities.
Key Responsibilities
- Manage compliance under the Companies Act, 2013, Ministry of Corporate Affairs (MCA) and Registrar of Companies (ROC) requirements.
- Handle Board Meetings, Annual General Meetings (AGMs), notices, agendas, resolutions and minutes.
- Maintain statutory registers, corporate records and compliance calendars.
- Manage Securities and Exchange Board of India (SEBI) and Foreign Exchange Management Act (FEMA) compliances, wherever applicable.
- Draft, review and negotiate contracts, agreements, Memorandums of Understanding (MoUs) and other legal documents.
- Support fundraising, investments, mergers and acquisitions (M&A;), due diligence and corporate restructuring.
- Coordinate with external legal advisors for litigation, arbitration and commercial disputes.
- Advise management on corporate governance, regulatory requirements and legal risks.
- Work with Finance, Human Resources, Operations and other teams on legal and compliance matters.
Requirements
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI) is mandatory.
- Bachelor of Laws (LLB) / Master of Laws (LLM) preferred.
- Minimum 1+ year of relevant experience in Company Secretarial, Corporate Legal or Compliance functions.
- Strong knowledge of Companies Act, MCA/ROC compliance and corporate governance.
- Knowledge of FEMA, SEBI regulations, contracts and legal documentation.
- Strong drafting, communication and negotiation skills.
- Ability to work independently in a rapid-paced startup environment.
Preferred Experience
Candidates with experience in Technology, EdTech, Startups, Corporate Legal, Fundraising, M&A; or Contract Management will be preferred.
Important: Qualified CS status and relevant corporate secretarial/compliance experience are mandatory.
