Key Responsibilities
1. Corporate Governance & Board Management
- Organize, schedule, and manage Board meetings, Committee meetings, and General Meetings.
- Prepare agendas, draft notices, minutes, and maintain statutory registers and records.
- Ensure Board decisions are implemented and documented as per compliance requirements.
- Advise the Board and management on governance best practices.
2. Statutory & Regulatory Compliance
- Ensure compliance under the Companies Act, 2013 and related SEBI, MCA, and corporate laws.
- Handle filings and returns with MCA/ROC, including annual returns, financial statements, and various secretarial forms.
- Oversee statutory audits, secretarial audits, and due diligence activities.
3. Real Estate Regulatory Compliance
- Manage RERA registrations, project updates, quarterly financial submissions, and compliance reports.
- Coordinate with finance, legal, and project teams to ensure timely RERA documentation and disclosures.
- Maintain communication with RERA authorities and ensure adherence to sector-specific laws.
4. Legal Documentation & Contract Management
- Draft, review, and vet agreements such as MoUs, JDAs,
development agreements, vendor contracts, lease agreements, and customer documentation.
- Support legal teams in litigation matters, responses, and regulatory communication.
· Maintain legal documentation repository and ensure contractual compliance.
5. Secretarial Records & Documentation
· Maintain statutory books including registers of members, directors, share transfers, minutes, and shareholding patterns.
· Oversee issue, allotment, and transfer of shares and manage investor relations if applicable.
· Support in corporate structuring, mergers, acquisitions, and JV/JDA setups.
6. Compliance Advisory & Risk Management
· Advise management on corporate laws, governance issues, regulatory changes, and risk mitigation strategies.
· Ensure compliance with labor laws, environmental approvals, and municipal regulations in coordination with legal and project teams.
· Establish internal compliance mechanisms and workflows.
7. Coordination & Stakeholder Management
· Liaise with auditors, consultants, legal advisors, banks, investors, government authorities, and regulatory bodies.
· Act as a key compliance and governance advisor for internal departments.
· Ensure timely dissemination of regulatory updates and compliance training.
Pay: ₹70,000.00 - ₹100,000.00 per month
