Key Roles & Responsibilities

NBFC AND RESERVE BANK OF INDIA (RBI) COMPLIANCE
Manage end-to-end regulatory compliance under the RBI regulations applicable to NBFCs (Base layer).
Handle RBI filings, periodic returns, fair practice codes, and responses to RBI inspection findings or regulatory queries.
Monitor changes in NBFC regulations and conduct impact analysis for senior management and the board.

AIF OPERATIONS AND SEBI COMPLIANCE
Oversee compliance under SEBI (Alternative Investment Funds) Regulations.
Assist in setting up schemes, onboarding investors, filing Private Placement Memorandums (PPM), and coordinating capital calls and distributions.
Ensure smooth coordination with trustees, custodians, regulators, and fund accountants.
Timely filing of returns and reports with the Trustee, SEBI and investors.





BOARD GOVERNANCE AND SECRETARIAL MANAGEMENT
Direct the end-to-end process for Board, Committee (Audit, Nomination & Remuneration, Risk, CSR), and General Meetings.
Draft high-quality agendas, comprehensive meeting notes, and accurate minutes.
Maintain statutory registers, records, and filings with the Registrar of Companies (ROC/MCA).

CORPORATE RESTRUCTURING AND TRANSACTIONS
Handle mergers, demergers, capital restructuring, and fundraising (debt and equity).
Oversee due diligence exercises, transaction documentation, and execution of investment agreements in coordination with legal counsels.
