Key Roles & Responsibilities

1.Board & Corporate Governance
Plan, coordinate and conduct Board, Committee, AGM and EGM meetings.
Prepare agenda, Board notes, minutes and Action Taken Reports.
Ensure implementation of Board decisions.
Advise the Board on governance, legal and regulatory matters.

2.Secretarial & Statutory Compliance
Ensure full compliance with the Companies Act, Secretarial Standards and other applicable laws.
Maintain statutory registers, records and corporate filings.
Ensure timely filing of all statutory returns and disclosures.
Coordinate Secretarial Audit and ensure closure of audit observations.

3.Regulatory Compliance & Liaison
Ensure compliance with RBI, SEBI, MCA, FEMA, FIU, Income Tax, GST and other applicable regulations.
Liaise with regulators, auditors, legal advisors and government authorities.
Monitor regulatory changes and advise management on their impact.

4.Policy, Risk & Governance Framework
Develop, review and update governance policies, Delegation of Authority, Code of Conduct,



Conflict of Interest, Whistle Blower and related governance frameworks.
Strengthen compliance monitoring, internal controls, enterprise governance, and business continuity framework.

5.Shareholder & Legal Affairs
Manage shareholder services, statutory approvals, corporate actions and investor communications.
Support legal documentation, contracts requiring Board approval, restructuring, due diligence and other strategic corporate initiatives.
*Experience in handle of right issue/ preference issue.

6.Compliance Monitoring & Reporting
Submit periodic compliance, governance and regulatory reports to the Board and senior management.
Admin Duties

*Oversee office Facilities and HR Support Functions.

*Manage and Control office documentation licence & Insurance Renewals.

*Manage and Control Day to day bank accounts.

*Control timely Fillings of GST, ITR, TDS, Returns.
